This Purchase Order is issued by Harbour Digital Solutions Pty Ltd to formally engage the named Web Designer for the design, development, and delivery of a comprehensive corporate website and associated digital assets. This Purchase Order governs all terms, conditions, deliverables, and payment obligations related to the Web Designer's professional services rendered within the Australia Sydney metropolitan area. The Web Designer shall perform all duties in accordance with Australian consumer law, the Australian Privacy Principles, and all applicable New South Wales state regulations governing professional services contracts.

The engagement of this Web Designer is specifically scoped to the Australia Sydney region, and all on-site meetings, client presentations, and collaborative design workshops shall take place at the Buyer's premises located in Sydney, New South Wales, Australia, unless otherwise agreed in writing by both parties. The Web Designer acknowledges that this Purchase Order constitutes a binding agreement for the provision of web design services and that failure to meet the stipulated deliverables may result in contractual remedies as outlined in Section 7 of this Purchase Order.

Payment for the Web Designer's services under this Purchase Order shall be made in accordance with the following schedule, all amounts denominated in Australian Dollars (AUD) and payable via direct bank transfer to the Web Designer's nominated account in Australia Sydney:

• Milestone 1 (30%): AUD 10,510.50 – Due upon execution of this Purchase Order and commencement of the Web Designer's discovery phase.
• Milestone 2 (40%): AUD 14,014.00 – Due upon Buyer's written approval of all Web Designer UI mockups and wireframes.
• Milestone 3 (30%): AUD 10,510.50 – Due upon successful deployment of the website to the production server and completion of the Web Designer's post-launch support period.

All invoices issued by the Web Designer must reference this Purchase Order number (PO-2025-SD-0487). Late payments shall attract interest at the rate prescribed under the Australian Consumer Law. The Web Designer must provide a valid Australian Tax File Number (TFN) and GST registration details prior to the first payment.

The Web Designer shall deliver all project milestones within the timelines specified in the attached Statement of Work (Appendix A). The Buyer shall have a period of five (5) business days from the date of delivery to review and either accept or request revisions from the Web Designer. Revisions limited to the scope defined in this Purchase Order shall be provided at no additional cost. Any changes to scope requested by the Buyer beyond the original Web Designer brief shall be subject to a written variation to this Purchase Order, signed by both parties, with corresponding adjustments to the total amount due.

All deliverables, including source files, design assets, and documentation, shall be transferred to the Buyer upon final payment. The Web Designer retains the right to display the completed work in their professional portfolio, subject to the Buyer's written consent, in accordance with standard practice for Web Designer engagements in Australia Sydney.

Upon full and final payment under this Purchase Order, all intellectual property rights in the Web Designer's deliverables shall vest in the Buyer. The Web Designer warrants that all work product is original and does not infringe upon the intellectual property rights of any third party. Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the course of this engagement, in compliance with the Privacy Act 1988 (Cth) and applicable New South Wales legislation. This confidentiality obligation shall survive the termination of this Purchase Order for a period of three (3) years.

Either party may terminate this Purchase Order by providing fourteen (14) days' written notice to the other party. In the event of termination, the Buyer shall pay the Web Designer for all services satisfactorily rendered up to the date of termination. If the Web Designer fails to meet any milestone deadline without reasonable cause, the Buyer may, at its sole discretion, terminate this Purchase Order and seek a refund of any pre-paid amounts attributable to undelivered services. All disputes arising from this Purchase Order shall be resolved in accordance with the laws of the State of New South Wales, Australia, and shall be subject to the exclusive jurisdiction of the courts of Australia Sydney.

This Purchase Order constitutes the entire agreement between the Buyer and the Web Designer with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements. No amendment to this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both parties. This Purchase Order is governed by and shall be construed in accordance with the laws of Australia, specifically the State of New South Wales. The Web Designer confirms that they are operating as a sole trader or registered business entity within Australia Sydney and are fully insured for professional indemnity and public liability in accordance with Australian regulatory requirements.
