This Purchase Order is issued by Dhaka Digital Solutions Ltd. to engage the services of a qualified Web Designer based in Bangladesh Dhaka for the development, design, and deployment of a comprehensive corporate website. The Web Designer shall be responsible for all aspects of the project including UI/UX design, front-end development, responsive layout implementation, and initial content integration. All deliverables must comply with the technical specifications outlined in Annexure A attached to this Purchase Order.

• Advance Payment: 30% of the total Purchase Order value (BDT 119,700.00) shall be paid within 7 working days of the signed Purchase Order confirmation, via bank transfer to the Web Designer's designated account in Bangladesh Dhaka.
• Milestone Payment: 40% (BDT 159,600.00) shall be due upon successful completion and client approval of the front-end development phase (Line Item 2).
• Final Payment: 30% (BDT 119,700.00) shall be due within 14 days of final deployment, acceptance, and completion of the 30-day post-launch support period.
• All payments shall be made in Bangladeshi Taka (BDT) via bank transfer to the account specified by the Web Designer. Late payments shall incur a penalty of 1.5% per month as per Bangladesh commercial law.

• This Purchase Order is governed by the laws of the People's Republic of Bangladesh. Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Bangladesh Arbitration Act, 2001.
• The Web Designer shall maintain full confidentiality of all proprietary information, brand assets, and business data provided by Dhaka Digital Solutions Ltd. during the course of this engagement.
• All intellectual property rights, including but not limited to source code, design files, and documentation, shall be transferred to the Purchasing Party upon full and final payment under this Purchase Order.
• The Web Designer is responsible for ensuring that all deliverables are free from defects, viruses, and security vulnerabilities at the time of handover in Bangladesh Dhaka.
• Any changes to the scope of work beyond the specifications in this Purchase Order must be documented in a written Change Order signed by both parties before additional work commences.
• The Web Designer shall provide a minimum of 30 days of free post-launch technical support. Beyond this period, support shall be billed at BDT 5,000 per hour.
• This Purchase Order is valid for 60 days from the date of issue. If not accepted within this period, a revised Purchase Order must be issued.
• The Web Designer shall comply with all applicable data protection and privacy regulations in Bangladesh, including the Digital Security Act, 2018.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Web Designer in Bangladesh Dhaka.
