This Purchase Order is issued by Brussels Digital Solutions S.A. to engage the services of a qualified Web Designer operating within the Brussels metropolitan area, Belgium. The Web Designer shall deliver a complete, responsive, and accessible website design and development package in accordance with the specifications outlined below. All work shall be performed in compliance with Belgian data protection regulations (GDPR as transposed into Belgian law via the Belgian Data Protection Act of 30 July 2018) and the European Accessibility Act applicable to digital services in Belgium.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Brussels, Belgium.
- Intellectual Property: Upon full and final payment, all intellectual property rights in the deliverables created by the Web Designer under this Purchase Order shall be irrevocably assigned to Brussels Digital Solutions S.A. The Web Designer retains the right to display the work in a professional portfolio, subject to the Buyer's prior written consent.
- Confidentiality: The Web Designer shall treat all information received from the Buyer as strictly confidential. This obligation survives termination of this Purchase Order for a period of five (5) years, in compliance with Belgian commercial confidentiality obligations.
- Payment: Payment shall be made via bank transfer to the Web Designer's Belgian bank account within thirty (30) calendar days of receipt of a valid VAT invoice. Late payments shall accrue interest at the statutory rate as defined by the Belgian Law of 2 August 2002 on Late Payment in Commercial Transactions.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date. The Web Designer shall deliver all work-in-progress files and documentation.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics, as defined under Belgian civil law (Articles 1147 and 1302-1 of the Belgian Civil Code).
- Compliance: The Web Designer warrants that all services rendered under this Purchase Order shall comply with applicable Belgian and European Union legislation, including but not limited to the Belgian Electronic Commerce Act, the GDPR, and the EU Web Accessibility Directive.
- Warranty: The Web Designer provides a 90-day warranty on all deliverables. Any defects discovered within this period shall be remedied at no additional cost to the Buyer.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for Web Designer services to be performed in Brussels, Belgium. This document constitutes a binding commercial agreement between the parties.
