Description of Services – Web Designer EngagementThis Purchase Order is issued by Horizonte Digital Solutions Ltda., a technology and digital marketing company headquartered in the Centro district of Rio de Janeiro, Brazil, to formally authorize the procurement of professional Web Designer services from Mendes Web Design Studio. The Web Designer, Carlos Eduardo Mendes, is a certified digital professional operating within the state of Rio de Janeiro and is engaged to deliver a comprehensive suite of web design, development, and user experience services for the Buyer's corporate digital platform and three (3) client-facing e-commerce projects.
The scope of this Purchase Order encompasses the full design and development lifecycle, including but not limited to: wireframing, visual interface design, responsive web development, cross-browser compatibility testing, accessibility compliance (WCAG 2.1 AA standard), content management system integration, and post-launch technical support. All deliverables shall be produced in accordance with the creative brief and technical specifications previously agreed upon during the initial consultation held at the Buyer's offices in Rio de Janeiro on May 28, 2025.

- Payment Method: Bank transfer (TED/PIX) to the Web Designer's registered account at Banco do Brasil, Ag. 1234-5, Conta Corrente 67890-1, CNPJ 98.765.432/0001-15.
- Installment 1 (30%): R$ 53,424.00 – Due upon signature of this Purchase Order and commencement of the Web Designer's initial design phase. Payment to be made within 5 (five) business days of PO acceptance.
- Installment 2 (30%): R$ 53,424.00 – Due upon delivery and Buyer's written approval of all design mockups and wireframes for the three projects. Payment within 10 (ten) business days of approval.
- Installment 3 (30%): R$ 53,424.00 – Due upon completion of development, successful user acceptance testing (UAT), and deployment to the production environment. Payment within 10 (ten) business days of go-live confirmation.
- Installment 4 (10%): R$ 17,808.00 – Due upon successful completion of the 6-month post-launch support period, subject to the Web Designer's fulfillment of all maintenance obligations outlined in Item 05.
- Late Payment Penalty: A monthly interest rate of 1% (one percent) plus a 2% (two percent) fine shall apply to any overdue amounts, in accordance with Brazilian commercial law (Código Civil, Art. 412).
- Phase 1 – Discovery & Wireframing: June 16, 2025 to July 11, 2025. The Web Designer shall deliver initial wireframes and user flow diagrams for review at the Buyer's office in Rio de Janeiro.
- Phase 2 – Visual Design & Prototyping: July 14, 2025 to August 15, 2025. High-fidelity mockups, interactive prototypes, and the complete visual design system shall be presented for Buyer approval.
- Phase 3 – Development & Integration: August 18, 2025 to October 10, 2025. Full front-end and back-end development, CMS integration, and payment gateway configuration.
- Phase 4 – Testing & QA: October 13, 2025 to October 31, 2025. Comprehensive cross-browser testing, accessibility audit, performance benchmarking, and security penetration testing.
- Phase 5 – Deployment & Training: November 3, 2025 to November 14, 2025. Production deployment, staff training sessions (2 sessions of 4 hours each at the Buyer's Rio de Janeiro headquarters), and documentation handover.
- Phase 6 – Post-Launch Support: November 15, 2025 to May 15, 2026. Ongoing maintenance, bug resolution, and performance monitoring as specified in Item 05.
- This Purchase Order is governed by the laws of the Federative Republic of Brazil, with specific reference to the Civil Code (Lei 10.406/2002) and the Consumer Protection Code (Lei 8.078/1990) where applicable to service provision.
- All intellectual property rights, including but not limited to source code, design files, vector graphics, and documentation created by the Web Designer under this Purchase Order, shall be transferred to Horizonte Digital Solutions Ltda. upon full payment of all installments.
- The Web Designer shall comply with all applicable data protection regulations, including the Brazilian General Data Protection Law (LGPD – Lei 13.709/2018), particularly regarding any personal data processed during the development of the client portal and e-commerce platforms.
- The Web Designer warrants that all deliverables shall be original, free from third-party intellectual property claims, and shall not infringe upon any copyrights, trademarks, or trade secrets. Any use of stock assets, fonts, or libraries shall be properly licensed and documented.
- Either party may terminate this Purchase Order with 30 (thirty) days' written notice. In the event of termination by the Buyer for convenience, the Web Designer shall be compensated for all work completed and approved up to the date of termination. In the event of termination due to the Web Designer's material breach, no further payment shall be due, and the Web Designer shall refund any advance payments for uncompleted work.
- All communications, revisions, and approvals related to this Purchase Order shall be conducted in writing via email. Verbal agreements made during in-person meetings at the Buyer's offices in Rio de Janeiro shall not be binding unless confirmed in writing within 48 hours.
- The Web Designer shall maintain professional liability insurance with a minimum coverage of R$ 500,000.00 for the duration of this engagement and shall provide a certificate of insurance upon request.
- Disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within 30 days, the matter shall be submitted to the competent courts of the city of Rio de Janeiro, state of Rio de Janeiro, Brazil, or to the Brazilian Arbitration Court (CAM-CCBC), at the Buyer's election.
- This Purchase Order constitutes the entire agreement between the parties regarding the Web Designer services described herein and supersedes all prior negotiations, representations, and agreements, whether written or oral.
By signing below, both parties acknowledge and agree to all terms, conditions, pricing, and delivery schedules set forth in this Purchase Order for the Web Designer services to be performed in and for the city of Rio de Janeiro, state of Rio de Janeiro, Federative Republic of Brazil.
