The purpose of this Purchase Order is to commission the design, development, and delivery of a complete corporate website and associated digital assets for Horizonte Digital Solutions' rebranding initiative. All services described herein shall be performed by the Web Designer in accordance with the specifications outlined in this document, applicable Brazilian labor and commercial regulations, and the professional standards recognized in the São Paulo digital design community.

The Web Designer engaged under this Purchase Order shall be responsible for the following deliverables and professional services, all to be executed in São Paulo, Brazil, or remotely with regular in-person meetings at the buyer's office on Av. Paulista:

3.1 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, specifically the Brazilian Civil Code (Código Civil, Lei nº 10.406/2002) and the Consumer Protection Code (Código de Defesa do Consumidor, Lei nº 8.078/1990) where applicable. Any disputes arising from this Purchase Order shall be resolved in the courts of São Paulo, State of São Paulo, Brazil.

3.2 Intellectual Property: Upon full payment of all amounts due under this Purchase Order, all intellectual property rights in the Web Designer's deliverables, including but not limited to source code, design files, wireframes, and documentation, shall be transferred exclusively to Horizonte Digital Solutions Ltda. The Web Designer retains the right to display the completed project in their professional portfolio.

3.3 Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, business strategies, and internal data of Horizonte Digital Solutions Ltda. accessed during the execution of this Purchase Order. This obligation survives termination for a period of two (2) years.

3.4 Revisions: Each design phase includes up to three (3) rounds of revisions at no additional cost. Additional revision cycles requested by the buyer beyond the included rounds shall be billed at the Web Designer's standard hourly rate of R$ 250.00 per hour.

3.5 Payment Schedule: Payment shall be made via bank transfer (TED/PIX) to the account specified by the vendor. Invoices shall be issued in Brazilian Real (BRL) with applicable ISS (Imposto Sobre Serviços) tax for the municipality of São Paulo. Payment is due within thirty (30) calendar days of the invoice date as stated in this Purchase Order.

3.6 Acceptance: The buyer shall have ten (10) business days from the delivery date of each milestone to inspect and accept or reject the deliverables. Rejection must be communicated in writing with specific, actionable feedback. Failure to respond within the acceptance period constitutes deemed acceptance.

3.7 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the city of São Paulo, Brazil.
