This Purchase Order is issued by Laurentide Digital Solutions Inc. to formally authorize and request the engagement of a qualified Web Designer through PixelForge Creative Studio for the design, development, and delivery of a comprehensive corporate website. This Purchase Order governs all terms, conditions, deliverables, and payment schedules associated with the Web Designer services to be performed in Canada Montreal. The Web Designer engaged under this Purchase Order shall adhere to all specifications outlined herein and shall deliver all work products in accordance with the Canadian Information Technology Standards and the professional norms established in the Canada Montreal digital design community.

The Web Designer contracted under this Purchase Order shall provide the following professional services, all to be executed in Canada Montreal:

Payment for the Web Designer services outlined in this Purchase Order shall be made in accordance with the following schedule:

• 30% Deposit: Due upon acceptance of this Purchase Order — $9,589.22 CAD
• 40% Milestone Payment: Due upon approval of Web Designer visual design and completion of front-end development — $12,785.62 CAD
• 30% Final Payment: Due upon final delivery, acceptance, and launch of the website — $9,589.22 CAD

All payments shall be remitted via electronic funds transfer (EFT) to the account designated by PixelForge Creative Studio. Late payments on this Purchase Order shall incur interest at a rate of 1.5% per month, in accordance with the Commercial Code of Quebec applicable in Canada Montreal.

• This Purchase Order is governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Canada Montreal.
• The Web Designer shall maintain full intellectual property rights to pre-existing tools and frameworks; however, all custom design work, code, and deliverables created specifically for this Purchase Order shall become the sole property of Laurentide Digital Solutions Inc. upon full payment.
• The Web Designer shall comply with all data privacy regulations, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Quebec Law 25, applicable to operations in Canada Montreal.
• Either party may terminate this Purchase Order with 14 days written notice. In the event of termination, the Web Designer shall be compensated for all work completed up to the termination date.
• The Web Designer shall provide a 90-day warranty on all deliverables. Any defects or non-conformities identified within this period shall be corrected at no additional cost under this Purchase Order.
• All communications regarding this Purchase Order shall be directed to the contacts listed above. Verbal agreements do not modify the terms of this Purchase Order.
• The Web Designer shall conduct all on-site meetings, reviews, and collaborative sessions in Canada Montreal unless otherwise agreed in writing by both parties.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Web Designer services to be performed in Canada Montreal. This Purchase Order becomes effective upon the last signature.

This Purchase Order (PO-2025-MTL-04782) is valid for 60 days from the date of issue. All services described herein are to be performed by a qualified Web Designer operating in Canada Montreal.
