This Purchase Order authorizes the engagement of the named Web Designer and their team at PixelCraft Web Design Studio to deliver a complete corporate website redesign for Maple Ridge Digital Solutions Inc. The Web Designer is expected to work primarily from their studio in Canada Toronto, with on-site meetings at the client's office no fewer than three (3) times per month during the active development phase. All intellectual property, source code, design files, and documentation produced under this Purchase Order shall become the sole property of Maple Ridge Digital Solutions Inc. upon full payment. The Web Designer warrants that all work will be original, free from third-party infringement, and compliant with the Copyright Act of Canada and applicable Ontario provincial regulations.
Terms & Conditions- Acceptance: This Purchase Order becomes binding upon written or electronic acceptance by the Web Designer within five (5) business days of issuance. Failure to respond within this period shall constitute a declination of this Purchase Order.
- Payment Schedule: 30% deposit due upon acceptance of this Purchase Order; 40% due upon completion of UI Design and Front-End Development milestones; 30% due upon final deployment and acceptance. All payments to be made in Canadian Dollars (CAD) via electronic funds transfer to the bank account specified above.
- Timeline: The Web Designer shall adhere to the project schedule outlined in the attached Statement of Work. Delays exceeding ten (10) business days without written justification may result in a penalty of 1.5% of the total Purchase Order value per week of delay.
- Revisions: The Web Designer is entitled to two (2) rounds of revisions per deliverable milestone. Additional revision cycles will be billed at the Web Designer's standard hourly rate of $125.00 CAD per hour.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Toronto in accordance with the rules of the Arbitration Association of Canada.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Web Designer shall be compensated for all work completed and documented up to the date of termination.
- Warranty: The Web Designer warrants that all deliverables shall be free from material defects for a period of ninety (90) days following final acceptance. The Web Designer shall correct any such defects at no additional charge.
