The Web Designer team engaged under this Purchase Order shall deliver the following in Beijing, China:
- Complete set of high-fidelity UI mockups in Figma, approved by the Buyer's product team before development begins.
- Responsive web design system with a minimum of 12 unique page templates, all optimized for Chinese internet users and compliant with MIIT (Ministry of Industry and Information Technology) regulations.
- Interactive prototype demonstrating user flows for product browsing, cart management, checkout via Alipay/WeChat Pay, and order tracking.
- Source code repository (Git) with full documentation, delivered to the Buyer's designated server hosted in Beijing.
- ICP filing assistance and domain registration support in accordance with Chinese telecommunications regulations.
- Comprehensive user training session (minimum 4 hours) conducted at the Buyer's Beijing office for internal staff.

All payments shall be made via bank transfer to the Seller's designated account at ICBC Beijing Chaoyang Branch. Invoices must include the Seller's VAT (Value-Added Tax) number and be issued in accordance with the Tax Administration of China regulations.
4. TERMS AND CONDITIONS- Governing Law: This Purchase Order and all associated service agreements shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be resolved through arbitration at the Beijing Arbitration Commission (BAC) in Beijing, China.
- Intellectual Property: Upon full payment, all Web Designer deliverables, including but not limited to design files, source code, brand assets, and documentation, shall become the exclusive property of the Buyer. The Web Designer retains the right to display the completed project in their portfolio with prior written consent from the Buyer.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the engagement. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Compliance: The Web Designer shall ensure all deliverables comply with Chinese cybersecurity laws, the Personal Information Protection Law (PIPL), and applicable data localization requirements. All user data shall be stored on servers physically located within mainland China.
- Revisions: The Web Designer shall include up to three (3) rounds of revisions per deliverable milestone. Additional revisions beyond this scope shall be billed at CNY 2,500 per hour.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government regulations, or public health emergencies affecting operations in Beijing, China.
- Warranty: The Web Designer warrants that all delivered work shall be free from material defects for a period of ninety (90) days following final acceptance. Defects shall be remedied at no additional cost to the Buyer.
