This Purchase Order is issued by Guangzhou Digital Commerce Solutions Co., Ltd. (hereinafter referred to as the "Buyer") to formally engage the services of PixelCraft Web Design Studio (hereinafter referred to as the "Supplier") for the provision of professional Web Designer services. The Web Designer engaged under this Purchase Order shall be responsible for the complete conceptualization, visual design, user experience architecture, and front-end implementation of the Buyer's digital properties. The Web Designer must demonstrate proficiency in modern design frameworks, responsive layout systems, and accessibility standards as mandated by the Ministry of Industry and Information Technology of the People's Republic of China. All deliverables produced by the Web Designer shall comply with the Cybersecurity Law of the People's Republic of China and the Data Security Law effective as of the date of this Purchase Order.

Payment for this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the Supplier's designated account in China Guangzhou. The payment schedule is as follows:

• 30% Advance Payment: CNY 134,196.00 – Due within 7 business days of Purchase Order acceptance.
• 40% Progress Payment: CNY 178,928.00 – Due upon Buyer's written acceptance of Milestone M2.
• 20% Completion Payment: CNY 89,464.00 – Due upon acceptance of Milestone M4.
• 10% Retention: CNY 44,732.00 – Due 30 days after the final maintenance month (April 15, 2026), subject to satisfactory performance.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China. Any disputes arising from this Purchase Order related to the Web Designer's services in China Guangzhou shall be resolved through arbitration at the Guangzhou Arbitration Commission.
2. Intellectual Property: Upon full payment, all original designs, source code, and creative assets produced by the Web Designer shall become the exclusive property of the Buyer. The Web Designer retains the right to display completed work in their portfolio with prior written consent from the Buyer.
3. Confidentiality: The Web Designer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and business data accessed during the execution of this Purchase Order. This obligation survives termination for a period of three (3) years.
4. Compliance: The Web Designer warrants that all deliverables shall comply with applicable Chinese regulations, including but not limited to the Personal Information Protection Law (PIPL), the Cybersecurity Law, and the ICP filing requirements for websites operating in China Guangzhou.
5. Revisions: Each project phase includes up to three (3) rounds of revisions. Additional revision requests beyond the included rounds shall be billed at the Web Designer's standard hourly rate of CNY 800.00 per hour.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the termination date.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government regulations, or public health emergencies affecting operations in China Guangzhou.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. The Web Designer services described herein shall be performed in accordance with the highest professional standards expected in the digital design industry in China Guangzhou.

This Purchase Order (PO-GZ-2025-04872) constitutes a binding agreement between the parties upon execution. All communications regarding this Purchase Order, the Web Designer's deliverables, and project updates shall be directed to the designated contacts listed in Section 1.
