2. The Web Designer shall deliver all project milestones in accordance with the approved timeline. Any delays exceeding five (5) business days without written justification may result in a penalty of 2% of the affected line item per day of delay.

4. All intellectual property rights associated with the final website design, code, and assets shall transfer to the Buyer upon full payment. The Web Designer retains the right to display the completed project in their professional portfolio with prior written consent.
5. The Supplier guarantees that all deliverables are original work and do not infringe upon any third-party intellectual property. The Web Designer shall indemnify the Buyer against any claims arising from copyright or trademark violations.
6. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during this engagement. This obligation extends for two (2) years beyond the termination of this Purchase Order.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or infrastructure failures affecting the Colombia Bogotá metropolitan area.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Colombia Bogotá before proceeding to the competent commercial courts of the Republic of Colombia.
