This Purchase Order is issued by Andina Digital Solutions S.A.S., a company legally registered and operating in Colombia Medellín, to formally request and authorize the engagement of professional Web Designer services. This document serves as the official contractual instrument governing the scope, deliverables, compensation, and terms of the professional relationship between the Buyer and the designated Web Designer based in Colombia Medellín. All parties acknowledge that this Purchase Order constitutes a binding agreement under the commercial regulations of the Republic of Colombia.

The Web Designer identified above is hereby contracted to provide comprehensive web design and development services for the Buyer's corporate digital presence. The engagement is to be performed primarily from the Web Designer's studio located in Colombia Medellín, with periodic in-person meetings at the Buyer's offices in the El Poblado district of Colombia Medellín. The Web Designer shall deliver all work in accordance with the specifications outlined in this Purchase Order and any supplementary technical briefs provided by the Buyer's project team.

The total amount of COP 44,625,000 (Forty-Four Million Six Hundred Twenty-Five Thousand Colombian Pesos) shall be paid to the Web Designer in the following installments, as stipulated in this Purchase Order:

• 30% Advance Payment (COP 13,387,500): Due upon signature and acceptance of this Purchase Order, to be transferred via bank wire to the Web Designer's account at Banco de Bogotá, Colombia Medellín branch.
• 40% Milestone Payment (COP 17,850,000): Due upon completion and Buyer approval of the UX/UI design mockups and front-end development phase.
• 30% Final Payment (COP 13,387,500): Due upon full deployment, acceptance of all deliverables, and commencement of the post-launch support period.

All payments shall be made in Colombian Pesos (COP) to the bank account designated by the Web Designer. Late payments shall incur a monthly interest rate of 1.5% in accordance with Colombian commercial law (Código de Comercio, Article 880).

1. This Purchase Order is governed by the commercial and civil laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved through the competent courts of Colombia Medellín, Antioquia.
2. The Web Designer warrants that all deliverables shall be original work, free from intellectual property infringement, and shall comply with all applicable Colombian data protection regulations (Ley 1581 de 2012 – Ley de Protección de Datos Personales).
3. The Web Designer shall maintain professional confidentiality regarding all proprietary information, business strategies, and client data accessed during the course of this engagement in Colombia Medellín.
4. Any modifications to the scope of work beyond what is specified in this Purchase Order shall require a written change order signed by both parties, with corresponding adjustments to the total amount and delivery timeline.
5. The Web Designer is engaged as an independent contractor and not as an employee of the Buyer. The Web Designer is solely responsible for all applicable taxes, social security contributions (Pensión, Salud, ARL), and regulatory obligations under Colombian labor and tax law.
6. All source code, design files, and digital assets produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment of the total amount.
7. The Web Designer shall provide a minimum of three (3) rounds of revisions per deliverable at no additional cost. Additional revisions shall be billed at COP 150,000 per hour.
8. This Purchase Order shall remain valid for thirty (30) calendar days from the date of issue. If not accepted and signed by the Web Designer within this period, it shall be considered null and void.
9. Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or internet infrastructure failures affecting Colombia Medellín, shall excuse timely performance for the duration of such events, provided written notice is given within 48 hours.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for Web Designer services to be rendered in Colombia Medellín. This document is executed in two (2) original copies, one for each party.
