- Scope & Deliverables: The Web Designer shall deliver all items listed above in accordance with the approved project timeline. All deliverables must be submitted to the Delta Digital Solutions S.A.E. office located in Smouha, Alexandria, Egypt, or via the designated project management portal.
- Payment Schedule: 30% advance payment upon Purchase Order acceptance; 40% upon completion of Front-End and Back-End development phases; 30% upon final deployment and acceptance. All payments shall be made via bank transfer to the Web Designer's registered account in Alexandria, Egypt.
- Timeline: The Web Designer commits to completing all development phases within 14 weeks from the date of this Purchase Order. Post-launch support shall commence immediately upon go-live and continue for three (3) calendar months.
- Intellectual Property: Upon full payment, all source code, design files, documentation, and related intellectual property created by the Web Designer shall become the exclusive property of Delta Digital Solutions S.A.E. The Web Designer retains the right to display the project in a professional portfolio with prior written consent.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all business data, customer information, and proprietary systems accessed during the engagement in Alexandria, Egypt. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
- Revisions: Two (2) rounds of design revisions are included per phase. Additional revisions beyond the agreed scope will be billed at the Web Designer's standard hourly rate of EGP 1,200 per hour.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination, the Web Designer shall be compensated for all work completed and documented up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes shall be resolved through the competent courts in Alexandria, Egypt.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or infrastructure failures affecting the Alexandria region.
- Compliance: The Web Designer warrants that all services rendered comply with Egyptian data protection regulations, the Egyptian Information and Communication Technology (ICT) Authority guidelines, and applicable commercial laws in force in Alexandria, Egypt.
