This Purchase Order is issued by Nile Digital Solutions S.A.E. to Cairo Creative Web Studio LLC for the engagement of a qualified Web Designer to deliver a comprehensive corporate website redesign and e-commerce platform build. All design, development, and deployment activities shall be executed in accordance with the specifications outlined below and shall be performed primarily at the vendor’s studio located in Egypt Cairo, with on-site collaboration sessions at the purchaser’s headquarters in Downtown Cairo as required.

1. This Purchase Order constitutes a binding agreement between Nile Digital Solutions S.A.E. (hereinafter “Purchaser”) and Cairo Creative Web Studio LLC (hereinafter “Vendor”) for the provision of Web Designer professional services as described herein.
2. All work shall be performed by the assigned Web Designer and their immediate team at the Vendor’s premises in Egypt Cairo, Maadi District, unless otherwise agreed in writing for on-site work at the Purchaser’s Cairo office.
3. Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of Line Items 1 through 3, and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the Vendor’s account at CIB, Cairo Branch, within thirty (30) days of invoice receipt.
4. The Vendor warrants that all Web Designer deliverables shall be original work, free from intellectual property infringement, and shall comply with all applicable Egyptian laws, including the Personal Data Protection Law No. 151 of 2020 and the Egyptian Cybercrime Law No. 175 of 2018.
5. Any changes to the scope of work beyond the specifications stated in this Purchase Order shall require a written Change Order signed by both parties. The Web Designer shall provide a revised cost estimate prior to commencing any additional work.
6. The Vendor shall maintain full confidentiality of all proprietary information, trade secrets, and business data of the Purchaser. A separate Non-Disclosure Agreement (NDA) is attached as Annex A to this Purchase Order.
7. In the event of a material breach by the Vendor, the Purchaser reserves the right to terminate this Purchase Order with fourteen (14) days’ written notice. In such case, the Vendor shall refund any pre-paid amounts for undelivered services within fifteen (15) business days.
8. All disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent courts of Cairo, Egypt, in accordance with Egyptian Civil and Commercial Law.
9. This Purchase Order is governed by the laws of the Arab Republic of Egypt. The primary place of performance is Egypt Cairo, and all communications related to this order shall be conducted in English or Arabic.
