Terms and Conditions
- Scope of Work: This Purchase Order authorizes the Web Designer (Atelier Pixel Créatif) to perform all web design, development, and maintenance services as itemized above. All deliverables must align with the project brief agreed upon during the initial consultation held in France Lyon on 20 May 2025.
- Project Timeline: The Web Designer shall commence work no later than 1 July 2025 and complete all development phases by 30 September 2025. The six-month maintenance retainer shall begin upon final acceptance of the launched website.
- Payment Schedule: 30% upon signature of this Purchase Order, 40% upon completion of Phase 03 (Front-End Development), and 30% upon final acceptance. The maintenance retainer shall be invoiced monthly in arrears. All payments shall be made via SEPA transfer to the account specified by the Web Designer.
- Intellectual Property: Upon full payment, all source code, design files, and documentation created by the Web Designer shall become the exclusive property of Rhône-Alpes Digital Solutions SARL. The Web Designer retains the right to display the completed project in their professional portfolio with prior written consent.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business data encountered during the engagement in France Lyon. This obligation survives termination of this Purchase Order for a period of three (3) years.
- Compliance with French Law: This Purchase Order is governed by the laws of the French Republic. The Web Designer shall comply with all applicable French labor regulations, data protection requirements under the GDPR (Règlement Général sur la Protection des Données), and local business ordinances applicable in the city of Lyon, France.
- Revisions: Each design phase includes up to three (3) rounds of revisions. Additional revision cycles requested by the buyer beyond the included number shall be billed at the Web Designer's standard hourly rate of €95.00 per hour.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the buyer shall pay for all services rendered up to the termination date, plus a 10% cancellation fee on the remaining contract value.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within 30 days, the matter shall be referred to the competent commercial court of Lyon, France.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or pandemics affecting operations in France Lyon or the broader Auvergne-Rhône-Alpes region.
