- Acceptance: This Purchase Order becomes binding upon written acceptance by the Web Designer (Atelier Numérique Méditerranée) within five (5) business days of issuance. Failure to respond within this period shall be interpreted as rejection of this Purchase Order.
- Project Timeline: The Web Designer shall adhere to the milestone schedule attached as Appendix A. All deliverables must be completed no later than 30 September 2025. Delays exceeding ten (10) business days without written justification may result in a penalty of 1.5% of the total contract value per week of delay.
- Intellectual Property: Upon full payment, all design assets, source code, and documentation created by the Web Designer shall become the exclusive property of Provence Digital Solutions SARL. The Web Designer retains the right to display the completed project in their professional portfolio with prior written consent from the buyer.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, business strategies, and client data encountered during the project. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Payment Schedule: 30% upon signing, 40% upon completion of development (Line Items 03 and 04), and 30% upon final acceptance and deployment. Invoices shall be issued in accordance with French invoicing regulations (Article 286 of the CGI) and must include the SIRET number, TVA identification, and the reference to this Purchase Order number.
- Revisions: The Web Designer shall include two (2) rounds of revisions per design deliverable at no additional cost. Additional revision cycles shall be billed at a rate of 85.00 EUR per hour.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Web Designer shall be compensated for all work completed and documented up to the termination date.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court of France Marseille (Tribunal de Commerce de Marseille).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or widespread infrastructure failures affecting the France Marseille region.
- Compliance: The Web Designer warrants that all deliverables shall comply with applicable French and European Union regulations, including the GDPR (RGPD), the French Digital Law (Loi pour une République Numérique), and all relevant accessibility directives.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Web Designer services described herein. This document constitutes the complete and final agreement between the parties regarding the scope of work to be performed in France Marseille.
