This Purchase Order formally requests the engagement of a qualified Web Designer to deliver comprehensive web design and development services for the Buyer's corporate digital presence. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising from this Purchase Order relating to the Web Designer's services in France Paris shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris.
- Intellectual Property: Upon full payment, all intellectual property rights in the Web Designer's deliverables (designs, code, documentation) shall transfer irrevocably to the Buyer. The Web Designer retains the right to display the work in a professional portfolio with the Buyer's written consent.
- Payment Schedule: 30% upon acceptance of this Purchase Order, 40% upon completion of Milestone M3, and 30% upon final acceptance at Milestone M5. Invoices shall be issued in EUR and paid via SEPA bank transfer to the Web Designer's account in France Paris.
- Confidentiality: The Web Designer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and business data of the Buyer, in compliance with the French Data Protection Act and the EU General Data Protection Regulation (GDPR / RGPD).
- Warranty: The Web Designer warrants that all deliverables shall be free from material defects for a period of twelve (12) months from the date of final acceptance. The Web Designer shall correct any defects at no additional cost within fifteen (15) business days of notification.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, as defined under Article 1218 of the French Civil Code.
- Subcontracting: The Web Designer shall not subcontract any portion of the work without prior written approval from the Buyer. All personnel engaged by the Web Designer in France Paris shall comply with French labor law (Code du travail).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date by the Web Designer.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Web Designer in France Paris. This document constitutes a binding commercial agreement under French law.
