This Purchase Order is issued by Rhein-Main Digital Solutions GmbH to formally engage the services of PixelCraft Studio UG, a specialized Web Designer firm based in Germany Frankfurt, for the design, development, and ongoing maintenance of corporate web properties. The Web Designer shall deliver all services in accordance with the specifications outlined in this Purchase Order and the attached Statement of Work (SOW-2025-FRA-00472-A). All work shall be performed in compliance with applicable German and European Union regulations, including but not limited to the GDPR (DSGVO), the German Telemedia Act (TMG), and the Accessibility Requirements (BITV 2.0).

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for any disputes arising from this Purchase Order shall be Frankfurt am Main, Germany Frankfurt, in accordance with § 29 ZPO.
2. Intellectual Property: Upon full payment, all intellectual property rights, including but not limited to design files, source code, and documentation created by the Web Designer in the course of fulfilling this Purchase Order, shall be transferred irrevocably to the Buyer. The Web Designer retains the right to display the completed work in their professional portfolio, subject to the Buyer's prior written consent.
3. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the execution of this Purchase Order. This obligation shall survive the termination of this agreement for a period of three (3) years.
4. Payment: Invoices shall be issued per milestone upon successful acceptance. Payment shall be made via SEPA bank transfer to the account specified by the Web Designer within thirty (30) calendar days of the invoice date. Late payments shall incur interest at the statutory rate pursuant to § 288 BGB.
5. Warranty: The Web Designer warrants that all deliverables shall be free from material defects for a period of twelve (12) months from the date of final acceptance. Any defects identified within this warranty period shall be remedied at no additional cost to the Buyer.
6. Termination: Either party may terminate this Purchase Order with a written notice period of thirty (30) days. In the event of termination, the Buyer shall pay for all services rendered and milestones accepted up to the date of termination.
7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, war, or government-imposed restrictions affecting operations in Germany Frankfurt or elsewhere.
8. Data Protection: The Web Designer shall process all personal data in strict compliance with the EU General Data Protection Regulation (GDPR/DSGVO) and the German Federal Data Protection Act (BDSG). A Data Processing Agreement (DPA) shall be executed prior to any data processing activities.
9. Subcontracting: The Web Designer shall not subcontract any portion of the work described in this Purchase Order without the prior written approval of the Buyer.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Web Designer services as described herein, with all work to be performed in and for the benefit of the Buyer's operations in Germany Frankfurt.
