3.1 Acceptance. This Purchase Order shall become a binding contract upon written acceptance by the Web Designer (Thomas Keller) within five (5) business days of issuance. Acceptance must be confirmed in writing via email to the procurement department of Bavaria Digital Solutions GmbH, Munich, Germany.

3.2 Performance Standards. The Web Designer shall perform all services with the skill, care, and diligence expected of a seasoned professional operating in the Germany Munich digital design market. All deliverables must meet the specifications outlined in the attached Statement of Work (SOW) and shall be subject to a minimum of two (2) revision cycles per deliverable at no additional cost.

3.3 Intellectual Property. Upon full payment of all amounts due under this Purchase Order, all intellectual property rights in the Web Designer's deliverables, including but not limited to source code, design files, vector graphics, and documentation, shall be irrevocably assigned to Bavaria Digital Solutions GmbH, Munich, Germany. The Web Designer retains the right to display the work in a professional portfolio, subject to a 90-day embargo period.

3.4 Data Protection & Confidentiality. The Web Designer shall comply fully with the GDPR and the German Federal Data Protection Act (BDSG). All client data processed during the engagement in Germany Munich shall be stored on servers located within the European Union. A separate Data Processing Agreement (DPA) shall be executed prior to the commencement of work.

3.5 Late Delivery Penalty. In the event that the Web Designer fails to deliver any milestone on or before the agreed date specified in this Purchase Order, a penalty of 0.5% of the total contract value per calendar day of delay shall be applied, up to a maximum of 10% of the total contract value. This penalty is without prejudice to the buyer's right to terminate this Purchase Order for material breach.

3.6 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Web Designer shall be compensated for all work completed and accepted up to the termination date, as documented in the project log maintained in Munich, Germany.

3.7 Dispute Resolution. Any dispute arising out of or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. Should negotiation fail, the dispute shall be referred to the competent civil court in Munich, Germany. The parties irrevocably submit to the exclusive jurisdiction of the courts of Germany Munich.

3.8 Force Majeure. Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Germany Munich.
