The Web Designer shall be responsible for the conceptualization, design, development, and deployment of a fully responsive, modern website that reflects the Buyer's brand identity and operational objectives. All design work shall be executed in accordance with international web design standards and shall be tailored to the specific digital landscape and user expectations prevalent in Ghana Accra and the broader West African market.

The Web Designer is expected to demonstrate proficiency in HTML5, CSS3, JavaScript, responsive design frameworks, and modern content management systems. The engagement is specifically scoped for projects to be delivered, managed, and supported from the Ghana Accra metropolitan area, ensuring local market knowledge, cultural relevance, and proximity for in-person consultations as required by this Purchase Order.

• 30% Advance Payment: GHS 30,480.00 due within five (5) business days of acceptance of this Purchase Order, payable via bank transfer to the Web Designer's designated account in Ghana Accra.
• 40% Milestone Payment: GHS 40,640.00 due upon approval of all UI/visual designs and completion of front-end development, as verified by the Buyer's project manager in Ghana Accra.
• 30% Final Payment: GHS 30,480.00 due upon successful deployment, CMS training completion, and commencement of the post-launch support period.
• All payments shall be made in Ghana Cedis (GHS) to the account specified by the Web Designer. Late payments shall attract a penalty of 2% per month as per Ghanaian commercial law.

• This Purchase Order is governed by the laws of the Republic of Ghana. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through arbitration in Ghana Accra in accordance with the Arbitration Act, 2099 (Act 599).
• The Web Designer warrants that all design assets, code, and intellectual property delivered under this Purchase Order shall be original and free from any third-party claims. The Web Designer shall indemnify the Buyer against any infringement claims.
• The Web Designer shall maintain professional liability insurance with a minimum coverage of GHS 500,000 for the duration of the engagement in Ghana Accra.
• Confidentiality: The Web Designer shall treat all proprietary information, business strategies, and client data accessed during the execution of this Purchase Order as strictly confidential. This obligation survives the termination of this Purchase Order for a period of three (3) years.
• Delivery Schedule: The Web Designer shall adhere to the project timeline outlined in the Statement of Work attached to this Purchase Order. Delays exceeding five (5) business days without written justification may result in a 5% reduction in the total Purchase Order value per week of delay.
• Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination as documented in this Purchase Order.
• The Web Designer shall comply with all applicable data protection regulations, including the Data Protection Act, 2012 (Act 843) of Ghana, for any personal data processed during the execution of this Purchase Order in Ghana Accra.
