Terms & Conditions of this Purchase Order

1. This Purchase Order is governed by the laws of India and shall be interpreted in accordance with the Indian Contract Act, 1872. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai.
2. The Web Designer shall commence work within five (5) business days of the written acceptance of this Purchase Order. The project timeline of twelve (12) weeks is binding, and any delay beyond the agreed schedule shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10%.
3. Payment shall be made in three milestones: 30% upon acceptance of this Purchase Order, 50% upon completion of UI design and front-end development, and 20% upon final delivery and sign-off. All payments shall be processed via NEFT/RTGS to the account designated by the Supplier in India Mumbai.
4. The Web Designer shall maintain strict confidentiality regarding all proprietary information, brand assets, and business data of TechNova Solutions Pvt. Ltd. A separate Non-Disclosure Agreement (NDA) executed in India Mumbai shall accompany this Purchase Order.
5. All intellectual property rights in the final deliverables, including but not limited to design files, source code, and documentation, shall vest exclusively with the Buyer upon full payment. The Web Designer retains the right to display the completed work in their professional portfolio with prior written consent.
6. The Supplier shall provide a valid GST invoice for each payment milestone. The Purchase Order value is inclusive of all applicable taxes levied under the Goods and Services Tax (GST) Act, 2017, as applicable in India Mumbai.
7. Any amendments, scope changes, or additional services beyond the scope defined in this Purchase Order must be documented in a written Change Order signed by both parties before execution.
8. The Web Designer shall comply with all applicable data protection regulations, including the Digital Personal Data Protection Act, 2023, while handling any user data during the design and development process in India Mumbai.
9. This Purchase Order shall remain valid until 15 July 2025. If not accepted by the Supplier within this period, the Buyer reserves the right to cancel this Purchase Order without any liability.
