This Purchase Order is issued by TechNova Solutions Pvt. Ltd. to engage the services of PixelCraft Digital Studio, a specialized Web Designer firm based in India New Delhi, for the comprehensive design, development, and deployment of a corporate e-commerce website. The Web Designer shall be responsible for all aspects of the digital interface, including but not limited to user experience (UX) architecture, user interface (UI) design, responsive layout engineering, front-end coding, and cross-browser compatibility testing. The engagement is governed by the terms and conditions specified in this Purchase Order document and the supplementary service-level agreement attached hereto as Annexure A.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Web Designer (PixelCraft Digital Studio, India New Delhi) within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Payment Schedule: 30% advance payment upon Purchase Order acceptance; 40% upon completion of front-end development (Milestone 3); 30% upon final deployment and sign-off. All payments shall be made via NEFT/RTGS to the bank account specified by the Web Designer in India New Delhi.
- Intellectual Property: Upon full and final payment, all source code, design files, and deliverables created by the Web Designer shall become the exclusive property of TechNova Solutions Pvt. Ltd. The Web Designer retains the right to display the project in their portfolio with prior written consent.
- Revisions: The Web Designer shall include up to three (3) rounds of revisions per milestone at no additional cost. Additional revisions beyond this limit shall be billed at INR 5,000 per hour.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary data, business strategies, and customer information accessed during the engagement in India New Delhi. A separate Non-Disclosure Agreement (NDA) is attached as Annexure B.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Web Designer shall be compensated for all work completed up to the date of termination, and all source files shall be handed over.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government regulations, or pandemics affecting operations in India New Delhi.
- Warranty: The Web Designer warrants that all deliverables shall be free from material defects for a period of ninety (90) days from the date of final deployment. The Web Designer shall rectify any such defects at no additional charge.
- Compliance: The Web Designer confirms compliance with all applicable Indian IT Act 2000 provisions, data protection regulations, and GST filing requirements applicable to service providers registered in India New Delhi.
