- Acceptance: This Purchase Order constitutes a binding agreement between Tigris Digital Solutions Ltd. (hereinafter "the Buyer") and Al-Rafidain Creative Web Studio (hereinafter "the Web Designer" or "the Vendor") upon written acceptance by both parties. The Web Designer shall confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
- Scope and Deliverables: The Web Designer shall deliver all design assets, source code, documentation, and training materials as specified in the line items above. All deliverables must be completed in accordance with the project timeline established for the Iraq Baghdad engagement. The Web Designer is responsible for ensuring all work complies with applicable Iraqi commercial law, intellectual property regulations, and the Baghdad municipal business licensing requirements.
- Payment Schedule: Payment shall be made in three installments: 30% upon Purchase Order acceptance, 40% upon delivery of completed design and development phases, and 30% upon final acceptance and completion of post-launch support. All payments shall be processed via bank transfer to the Web Designer's designated account in Baghdad, Iraq. Invoices must reference this Purchase Order number (PO-2025-BGH-0047).
- Intellectual Property: Upon full payment, all intellectual property rights, including but not limited to design files, source code, and documentation created by the Web Designer under this Purchase Order, shall be transferred exclusively to the Buyer. The Web Designer retains the right to display completed work in their professional portfolio with prior written consent from the Buyer.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, business strategies, and client data encountered during the course of this project in Iraq Baghdad. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay the Web Designer for all services rendered and approved up to the date of termination. The Web Designer shall deliver all work-in-progress files and materials to the Buyer within ten (10) business days of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration in accordance with the rules of the Baghdad Chamber of Commerce, Iraq. The governing law for this Purchase Order shall be the laws of the Republic of Iraq.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Iraq, internet infrastructure failures in Baghdad, or acts of war.
- Compliance: The Web Designer warrants that all services provided under this Purchase Order shall comply with the Iraqi Telecommunications and Media Commission (ITC) regulations, the Iraqi Data Protection Law, and all applicable standards governing digital services in Baghdad, Iraq.
