This Purchase Order is issued by Meridian Digital Solutions Ltd. to formally engage the services of a qualified Web Designer based in Israel Tel Aviv for the design, development, and deployment of a comprehensive corporate web platform. The Web Designer shall be responsible for the full creative and technical execution of the project as outlined below. All work shall be performed in accordance with Israeli professional standards and applicable regulations governing digital services in the Tel Aviv metropolitan area.

Payment for this Purchase Order shall be made in the following installments, all denominated in Israeli New Shekels (ILS):

1. 30% Advance Payment (ILS 42,727.80): Due upon signature and acceptance of this Purchase Order. This payment shall be transferred to the Web Designer's designated bank account within five (5) business days of the issue date.
2. 40% Milestone Payment (ILS 56,970.40): Due upon client approval of the final visual design mockups and completion of front-end development. Payment shall be processed within ten (10) business days of written approval.
3. 30% Final Payment (ILS 42,727.80): Due upon successful deployment to production, completion of the QA audit, and delivery of all source files, credentials, and documentation to the client.

All payments shall be made via bank transfer to the account specified in the Supplier Details section. Late payments shall incur interest at the rate of 1.5% per month in accordance with Israeli commercial law. The Web Designer shall issue a valid VAT invoice for each payment milestone.

1. This Purchase Order constitutes a binding agreement between Meridian Digital Solutions Ltd. and PixelCraft Web Design Studio upon countersignature by both parties. All services described herein shall be rendered by the designated Web Designer or their directly supervised team members.
2. The Web Designer warrants that all deliverables shall be original work, free from intellectual property infringement, and compliant with the Israeli Copyright Law, 5765-2007. All source code, design files, and assets shall become the exclusive property of the client upon full payment.
3. The Web Designer shall maintain professional confidentiality regarding all client data, business strategies, and proprietary information encountered during the course of this engagement in Israel Tel Aviv. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
4. Any changes to the scope of work beyond the deliverables listed in this Purchase Order shall require a written change order signed by both parties. Additional work shall be billed at the Web Designer's standard hourly rate of ILS 850.00 per hour.
5. The Web Designer shall comply with all applicable Israeli labor laws, data protection regulations (including the Israeli Privacy Protection Law, 5741-1981), and industry standards for web development and design.
6. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith mediation in Tel Aviv, Israel. Should mediation fail, the matter shall be submitted to the competent courts of Tel Aviv-Yafo, Israel.
7. This Purchase Order is valid for thirty (30) days from the date of issue. If not accepted and countersigned within this period, it shall automatically expire and become null and void.
