The Web Designer shall complete all deliverables in accordance with the following timeline, with all on-site meetings and presentations to be conducted at the Luminara Digital S.r.l. premises in Italy Milan:

Payment for this Purchase Order shall be made via bank transfer to the Web Designer's designated account in accordance with the following schedule: 30% upon signature of this Purchase Order, 40% upon completion of Milestone M3, and the remaining 30% upon final acceptance at Milestone M5. The monthly maintenance retainer shall be invoiced on the first business day of each month. All payments are subject to the standard 30-day payment terms from the date of invoice receipt. Late payments shall incur interest at the rate prescribed by Italian commercial law (Codice Civile, Art. 1284). The Web Designer shall issue all invoices referencing this Purchase Order number (IT-MIL-2025-04871) and shall include their VAT registration number valid for the Italy Milan tax jurisdiction.

5.1 This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Italian Republic, with jurisdiction vested in the competent courts of Italy Milan.

5.2 The Web Designer warrants that all deliverables shall be original, free from intellectual property infringement, and compliant with the Italian General Data Protection Regulation (GDPR) and the national privacy code (D.Lgs. 196/2003 as amended).

5.3 The Web Designer shall maintain full professional liability insurance with a minimum coverage of EUR 500,000 for the duration of this Purchase Order and the subsequent maintenance period.

5.6 In the event of non-compliance or failure to meet the agreed milestones, the Web Designer shall be liable for a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10% of the total value.

5.7 This Purchase Order shall remain in effect until the completion of all services and the expiration of the 12-month maintenance retainer, unless terminated earlier by mutual written agreement or in accordance with the termination clauses herein.
