Payment shall be made via bank transfer (bonifico bancario) to the Web Designer's account: IBAN IT60 X054 2811 1010 0000 0123 456, BIC: BLOPIT22, held at Banco di Napoli, Naples branch. Invoices must reference this Purchase Order number (PO-NAP-2025-00472).
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic, with jurisdiction vested in the Tribunale di Napoli (Naples Court). All disputes relating to the Web Designer's services shall be resolved in Naples, Italy.
- Intellectual Property: Upon full payment of this Purchase Order, all intellectual property rights in the Web Designer's deliverables (designs, code, brand assets) shall transfer exclusively to Vesuvio Digital Solutions S.r.l. - Compliance: The Web Designer warrants that all work shall comply with Italian copyright law (Legge 633/1941), the EU General Data Protection Regulation (GDPR), and all municipal regulations applicable to digital service providers operating in Naples, Campania.
- Delivery & Acceptance: The Web Designer shall deliver all milestones in accordance with the project timeline. Failure to respond within this period constitutes deemed acceptance.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Naples region, government-mandated closures, or widespread internet infrastructure failures in southern Italy.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay the Web Designer for all services rendered and materials procured up to the termination date, as documented in the Naples-based project log.
- Warranty: The Web Designer warrants that all deliverables shall be free from material defects for a period of ninety (90) days following final acceptance. The Web Designer shall correct any such defects at no additional cost within fifteen (15) business days of written notice from the buyer.
