4.1 Scope of Work: The Web Designer shall deliver all design assets, source code, and documentation as specified in this Purchase Order. All deliverables must be completed within the Japan Tokyo metropolitan area unless otherwise agreed in writing by both parties.
4.2 Timeline: The Web Designer shall commence work within five (5) business days of the effective date of this Purchase Order. The full project shall be completed no later than September 30, 2025, with a phased delivery schedule to be confirmed during the initial discovery session in Japan Tokyo.
4.3 Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon approval of the complete visual design phase, and 30% upon final delivery and acceptance. All payments shall be made via bank transfer to the account designated by the Web Designer's company in Japan Tokyo. Payment is due within fourteen (14) days of invoice receipt.
4.4 Intellectual Property: Upon full and final payment, all intellectual property rights, including but not limited to design files, source code, and documentation created by the Web Designer, shall be transferred exclusively to the Buyer. The Web Designer retains the right to display the completed work in their professional portfolio.
4.5 Revisions: The Web Designer shall include two (2) rounds of revisions per design phase at no additional cost. Additional revision requests beyond the included rounds shall be billed at the Web Designer's standard hourly rate of JPY 12,000 per hour.
4.6 Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, business strategies, and client data encountered during the engagement in Japan Tokyo. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
4.7 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Buyer shall compensate the Web Designer for all work completed up to the date of termination, as documented in the project log maintained in Japan Tokyo.
4.8 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order related to the Web Designer's services in Japan Tokyo shall be subject to the exclusive jurisdiction of the Tokyo District Court.
4.9 Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates, or other events beyond reasonable control, consistent with Japanese commercial law as applied in Japan Tokyo.
5. ACCEPTANCE AND SIGNATURESBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Web Designer in Japan Tokyo. This document constitutes a binding agreement effective as of the date of the last signature.
