The Web Designer shall be responsible for the complete design, development, testing, and deployment of a corporate website and associated digital assets as outlined below. • 30% Final Payment (KES 391,500.00): Due within 10 business days of successful deployment, final testing, and handover of all source files and documentation.

• Late payments shall attract interest at the rate of 2% per month as stipulated under Kenyan commercial law.

• Development Phase Completion: 26 August 2025.
• Testing & QA: 9 September 2025.
• Final Deployment & Go-Live: 20 September 2025.
• Training & Handover: 22 – 23 September 2025, conducted at the buyer's premises in Kenya Nairobi.
• The Web Designer shall provide weekly progress reports to the buyer's project manager throughout the engagement.

• This Purchase Order is governed by the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kenya Nairobi in accordance with the Arbitration Act, 1995 of Kenya.
• The Web Designer warrants that all deliverables shall be original, free from intellectual property infringement, and shall not contain any malicious code or unauthorized third-party scripts.
• The Web Designer shall comply with all applicable data protection regulations in Kenya Nairobi, including the Data Protection Act, 2019, and shall implement appropriate security measures for all user data processed through the website.
• Intellectual property rights for all custom designs, code, and content created under this Purchase Order shall transfer to the buyer upon full and final payment.
• The Web Designer shall maintain professional indemnity insurance with a minimum cover of KES 5,000,000 for the duration of the project and the 6-month support period.
• Either party may terminate this Purchase Order with 14 days' written notice in the event of material breach by the other party. Upon termination, the buyer shall pay for all services rendered up to the date of termination.
• The Web Designer shall be available for on-site meetings at the buyer's office in Kenya Nairobi no fewer than two (2) times per month during the active project phase.
