- Acceptance: This Purchase Order becomes binding upon written acceptance by the Web Designer vendor. The vendor shall return a signed copy of this Purchase Order within five (5) business days of receipt.
- Timeline: The Web Designer shall complete all deliverables within ninety (90) calendar days from the date of Purchase Order acceptance. Milestone-based progress reports shall be submitted bi-weekly to the buyer's project manager in Kuwait Kuwait City.
- Payment Schedule: 30% advance payment upon Purchase Order acceptance; 40% upon completion of UI design approval (Item 02); 30% upon final deployment and acceptance (Item 07). All payments shall be made via bank transfer to the vendor's account in Kuwait Kuwait City.
- Intellectual Property: Upon full payment, all source code, design files, and documentation created by the Web Designer shall become the exclusive property of Al-Nakheel Digital Solutions W.L.L. The vendor retains the right to display the project in a professional portfolio with prior written consent.
- Revisions: The Web Designer shall include two (2) rounds of design revisions per page template at no additional cost. Additional revisions beyond the agreed scope shall be billed at KWD 75.00 per hour.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality of all proprietary information, customer data, and business strategies disclosed during the engagement, in accordance with Kuwait's Data Protection Law (Law No. 30 of 2016).
- Warranty: The Web Designer provides a ninety (90) day warranty period from the date of final deployment, during which all bugs, defects, and non-conformities shall be corrected at no additional charge.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes shall be resolved through the competent courts in Kuwait Kuwait City.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or internet infrastructure failures in Kuwait Kuwait City.
