All payments shall be made via bank transfer to the supplier's designated account in Malaysian Ringgit (MYR). Invoices must reference this Purchase Order number (KL-WD-2025-00472). Payment is due within fourteen (14) calendar days from the date of invoice. Late payments shall attract interest at the rate of 5% per annum as stipulated under the Contracts Act 1950 of Malaysia.
5.1 This Purchase Order is governed by and shall be construed in accordance with the laws of Malaysia, specifically the Federal Territory of Kuala Lumpur jurisdiction. Any disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur before escalation to the courts of competent jurisdiction.
5.2 The Web Designer (PixelCraft Web Design Studio Sdn. Bhd.) warrants that all deliverables shall be original work, free from intellectual property infringement, and compliant with the Personal Data Protection Act 2010 (PDPA) of Malaysia. All source code, design files, and digital assets shall become the exclusive property of the Purchasing Party upon full payment.
5.3 The Web Designer shall assign a dedicated project manager and a team of no fewer than three (3) skilled professionals for the duration of this engagement. All on-site meetings and presentations shall be conducted at the buyer's office in Malaysia Kuala Lumpur unless otherwise agreed in writing.
5.4 The Web Designer shall comply with all applicable Malaysian regulations, including but not limited to the Communications and Multimedia Act 1998, the Consumer Protection Act 1999, and any directives issued by the Malaysian Communications and Multimedia Commission (MCMC).
5.5 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Purchasing Party shall pay for all work completed and approved up to the date of termination. The Web Designer shall deliver all work-in-progress files and documentation within seven (7) days of termination.
5.6 The Web Designer shall maintain professional indemnity insurance with a minimum coverage of MYR 1,000,000 and public liability insurance of MYR 500,000 for the duration of this Purchase Order.
5.7 All communications related to this Purchase Order shall be conducted in English or Bahasa Malaysia. Official notices shall be sent via registered post or email to the addresses specified in Section 1 of this document.
This Purchase Order is issued and authorised by the undersigned on behalf of Nusantara Digital Solutions Sdn. Bhd. The supplier, PixelCraft Web Design Studio Sdn. Bhd., acknowledges receipt and acceptance of this Purchase Order by signing below. Both parties confirm that this Purchase Order constitutes a binding agreement for the Web Designer services described herein, to be executed in Malaysia Kuala Lumpur.
