- Scope of Work: This Purchase Order authorizes the Web Designer to perform all services as described in the line items above. Any additional work beyond the stated scope requires a written change order signed by both parties before execution.
- Payment Schedule: Payment shall be made in three (3) installments: 30% upon acceptance of this Purchase Order, 40% upon completion of Line Items 01 through 03, and 30% upon final delivery and acceptance of all remaining deliverables. All payments shall be made via bank transfer to the account designated by the Web Designer.
- Intellectual Property: Upon full payment, all designs, source code, brand assets, and documentation created by the Web Designer shall become the exclusive property of Grupo Digital Innovaciones S.A. de C.V. The Web Designer retains the right to display the completed work in their professional portfolio.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the engagement in Mexico Mexico City. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Compliance: The Web Designer shall comply with all applicable Mexican federal and local regulations, including the Ley Federal de Protección de Datos Personales en Posesión de los Particulares and all tax obligations under the SAT (Servicio de Administración Tributaria).
- Warranty: The Web Designer warrants that all deliverables shall be free from defects in design and code for a period of ninety (90) days from the date of final acceptance. Any defects identified within this period shall be corrected at no additional cost.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the client shall pay for all services rendered up to the date of termination. The Web Designer shall deliver all work-in-progress materials to the client.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Mexican States, with jurisdiction vested in the courts of Mexico Mexico City, CDMX.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in Mexico Mexico City.
