4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the provision of Web Designer services as described herein. Both parties acknowledge that this transaction is governed by the laws of the Kingdom of Morocco, specifically the Moroccan Commercial Code and the Code of Obligations and Contracts.
4.2 The Web Designer shall commence work within five (5) business days of receiving written acceptance of this Purchase Order. All project milestones and deliverables shall be submitted to the Buyer's designated project manager at the Atlas Digital Solutions office in Morocco Casablanca, located at 45 Boulevard Mohammed V.
4.3 Payment shall be made in three (3) installments: 40% upon contract signing, 40% upon completion of all design and development deliverables, and 20% upon successful final acceptance and deployment. All payments shall be processed via bank transfer to the Supplier's account at Bank of Africa (BMCE), Casablanca branch.
4.4 The Web Designer warrants that all designs, code, and intellectual property created under this Purchase Order shall be the exclusive property of the Buyer upon full payment. The Supplier shall not reuse, resell, or license any portion of the deliverables to third parties without prior written consent.
4.5 Any changes to the scope of work must be documented in a formal Change Order signed by both parties. Unapproved modifications to the Web Designer's deliverables shall not be subject to payment under this Purchase Order.
4.6 The Supplier shall maintain full compliance with Moroccan data protection regulations (Law 09-08) and shall ensure that all user data collected through the platforms designed under this Purchase Order is stored on servers located within Morocco or in approved jurisdictions.
4.7 In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Casablanca, Morocco. Should mediation fail, the matter shall be submitted to the competent commercial court of Casablanca.
4.8 This Purchase Order is valid for thirty (30) days from the date of issue. Failure to accept within this period shall render this document null and void, and the Buyer reserves the right to issue a revised Purchase Order at updated market rates for Web Designer services in Morocco Casablanca.
