This Purchase Order is issued by Amsterdam Digital Ventures B.V. to engage the services of PixelCraft Web Design Studio, a specialized Web Designer firm operating in the Netherlands Amsterdam metropolitan area, for the design, development, and deployment of a comprehensive corporate website and associated digital assets. The Web Designer shall deliver all work in accordance with the specifications outlined below and in compliance with all applicable Dutch and European Union regulations governing digital services, data protection (GDPR), and intellectual property rights.

1. Acceptance: This Purchase Order becomes binding upon written acceptance by the Web Designer (PixelCraft Web Design Studio) within five (5) business days of the date of issue. Failure to respond within this period shall constitute rejection of this Purchase Order.
2. Delivery & Timeline: The Web Designer shall complete all design and development deliverables within ninety (90) calendar days from the date of Purchase Order acceptance. All work shall be performed and delivered at the buyer's premises located in Netherlands Amsterdam, or remotely as mutually agreed in writing.
3. Quality Standards: The Web Designer guarantees that all deliverables shall meet industry-standard quality benchmarks, be free from critical defects, and comply with WCAG 2.1 AA accessibility guidelines. The Web Designer shall conduct a minimum of three (3) revision rounds per deliverable at no additional cost.
4. Payment Schedule: Payment shall be made in three installments: 30% upon Purchase Order acceptance, 40% upon completion of development and delivery of the staging environment, and 30% upon final acceptance and go-live deployment. All payments shall be made via bank transfer to the Web Designer's designated Dutch bank account.
5. Intellectual Property: Upon full payment, all intellectual property rights in the Web Designer's deliverables, including but not limited to source code, design files, and brand assets, shall transfer exclusively to Amsterdam Digital Ventures B.V. The Web Designer retains the right to display the completed work in their professional portfolio.
6. Confidentiality: The Web Designer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Web Designer shall be compensated for all work completed and accepted up to the date of termination, less any amounts already paid.
8. Warranty: The Web Designer provides a twelve (12) month warranty on all deliverables from the date of final acceptance. Any defects or bugs identified during this period shall be corrected by the Web Designer at no additional charge within ten (10) business days of notification.
9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting the Netherlands Amsterdam region.
10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of the Netherlands. Any disputes arising hereunder shall be resolved by the competent courts in Amsterdam, Netherlands.
