This Purchase Order is issued by Harbourfront Digital Solutions Ltd to engage the services of PixelCraft Web Design Studio, a specialist Web Designer firm based in New Zealand Auckland, for the comprehensive design, development, and deployment of a corporate e-commerce website. The Web Designer shall deliver a fully responsive, accessible, and SEO-optimised web platform that aligns with the brand identity and operational requirements of the purchasing entity. All work associated with this Purchase Order shall be performed in accordance with the standards and regulations applicable within New Zealand Auckland, including compliance with the New Zealand Privacy Act 2020 and the Web Content Accessibility Guidelines (WCAG 2.1 Level AA).

Payment for this Purchase Order shall be made in accordance with the following schedule, all amounts denominated in New Zealand Dollars (NZD):

• 30% Deposit (NZD 24,805.50): Due upon acceptance and signing of this Purchase Order, payable within 7 calendar days to the Web Designer's nominated bank account in New Zealand Auckland.
• 40% Progress Payment (NZD 33,074.00): Due upon completion and approval of the full UI/UX design phase and commencement of development.
• 30% Final Payment (NZD 24,805.50): Due upon successful deployment, completion of UAT sign-off, and handover of all source files, documentation, and credentials to the purchasing entity.

All payments shall be made via electronic funds transfer (EFT) to the account details provided by the Web Designer. Late payments shall attract interest at the rate of 1.5% per month in accordance with the New Zealand Consumer Guarantees Act 1993 and applicable commercial terms.

1. This Purchase Order is governed by the laws of New Zealand, specifically those applicable in the Auckland region of New Zealand Auckland. Any disputes arising from this Purchase Order shall be resolved through the Disputes Tribunal or the District Court of Auckland.
2. The Web Designer warrants that all deliverables shall be original work, free from intellectual property infringement, and shall not contain any third-party code or assets without proper licensing.
3. The Web Designer shall maintain professional indemnity insurance with a minimum cover of NZD 2,000,000 throughout the duration of this Purchase Order.
4. All project files, source code, design assets, and documentation created under this Purchase Order shall become the sole property of Harbourfront Digital Solutions Ltd upon full payment.
5. The Web Designer shall comply with all data protection obligations under the New Zealand Privacy Act 2020 and shall not transfer any client data outside of New Zealand without prior written consent.
6. Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Web Designer shall be compensated for all work completed up to the date of termination, and all work-in-progress files shall be handed over.
7. The Web Designer shall provide weekly progress reports every Friday to the project manager at Harbourfront Digital Solutions Ltd, detailing tasks completed, upcoming activities, and any risks or blockers identified in New Zealand Auckland.
8. Any changes to the scope of work beyond the original Purchase Order specifications shall be documented in a formal Change Order, signed by both parties, before additional work commences.
