This Purchase Order formally engages the above-named Web Designer to deliver a comprehensive suite of digital design and development services for the Buyer's corporate web presence. The Web Designer shall operate from their registered studio in New Zealand Wellington and shall ensure all deliverables comply with New Zealand accessibility standards (WCAG 2.1 AA), the Privacy Act 2020, and local e-commerce regulations applicable in the Wellington region. The engagement covers the full lifecycle of the project, from initial wireframing and user-experience research through to final deployment, quality assurance, and a 90-day post-launch support period.

• Milestone 1 (30%): NZD 11,833.50 due upon acceptance of the UX strategy and wireframes. Payment due within 14 days of invoice.
• Milestone 2 (40%): NZD 15,778.00 due upon completion of UI design and front-end development. Payment due within 14 days of invoice.
• Milestone 3 (30%): NZD 11,833.50 due upon final deployment and sign-off. Payment due within 30 days of invoice (Net 30).

All payments shall be made via bank transfer to the Web Designer's nominated account in New Zealand Wellington. The Buyer's accounts payable team will process payments in accordance with the Purchase Order terms.

• This Purchase Order is governed by the laws of New Zealand, specifically the Contract and Commercial Law Act 2017 and the Consumer Guarantees Act 1993.
• The Web Designer warrants that all work product shall be original, free from intellectual property infringement, and delivered in a professional and workmanlike manner consistent with industry standards in New Zealand Wellington.
• All source files, design assets, and documentation shall be transferred to the Buyer upon final payment. The Web Designer retains the right to display the completed work in their professional portfolio.
• The Web Designer shall maintain professional indemnity insurance with a minimum cover of NZD 2,000,000 throughout the duration of this Purchase Order.
• Any changes to scope beyond the agreed deliverables shall be documented in a written variation to this Purchase Order and approved by both parties before work commences.
• The Web Designer shall comply with all applicable New Zealand employment, tax, and privacy obligations. All personal data processed during the project shall be handled in accordance with the Privacy Act 2020.
• Disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved, the parties agree to mediation in Wellington, New Zealand, before pursuing litigation in the District Court of Wellington.
• This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations have been fulfilled or the expiry date stated above, whichever is earlier.

All deliverables under this Purchase Order shall be submitted electronically via the Buyer's project management platform. The Buyer shall have five (5) business days from receipt of each milestone deliverable to provide written acceptance or a detailed list of required revisions. Failure to respond within this period shall constitute deemed acceptance. The Web Designer shall address any reasonable revisions at no additional cost within the scope of the original Purchase Order.
