The Web Designer engaged under this Purchase Order shall be responsible for the end-to-end creation of a corporate website, an e-commerce platform, and associated digital assets for the issuing company. All work shall be performed in accordance with the specifications outlined in this Purchase Order and the attached Statement of Work (SOW), and all deliverables must comply with the standards set by the Nigerian Communications Commission (NCC) and the National Information Technology Development Agency (NITDA) for digital services in Nigeria Abuja.

3.1 This Purchase Order constitutes a binding agreement between Abuja Digital Solutions Ltd. and the Web Designer, PrimeWeb Creative Studio, upon countersignature by both parties. All services described herein shall be rendered in Nigeria Abuja, Federal Capital Territory, unless otherwise agreed in writing.

3.2 The Web Designer warrants that all deliverables shall be original, free from intellectual property infringement, and shall not contain any third-party code or assets without proper licensing. The Web Designer shall indemnify the issuing company against any claims arising from copyright or trademark violations.

3.3 Payment shall be made via bank transfer to the account designated by the Web Designer. Invoices must be submitted to the procurement department of Abuja Digital Solutions Ltd. at least five (5) business days prior to the due date. Late payments shall attract a penalty of 1.5% per month as stipulated under Nigerian commercial law.

3.4 The Web Designer shall provide weekly progress reports every Friday to the project manager. Failure to meet the delivery deadlines stated in this Purchase Order without prior written approval shall result in a deduction of 2% of the total contract value per week of delay.

3.5 All source code, design files, and digital assets produced under this Purchase Order shall become the exclusive property of Abuja Digital Solutions Ltd. upon full payment. The Web Designer shall transfer all relevant files in industry-standard formats (Figma, PSD, HTML/CSS/JS, database dumps) within three (3) business days of final acceptance.

3.6 The Web Designer shall comply with all applicable data protection regulations, including the Nigeria Data Protection Act (NDPA) 2023, particularly with respect to any customer data processed through the e-commerce platform.

3.7 This Purchase Order may be amended only by mutual written consent of both parties. Any change in scope, timeline, or pricing must be documented in a formal Change Order signed by authorised representatives.

3.8 In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Nigeria Abuja. Should mediation fail, the matter shall be referred to the Federal High Court in Abuja, FCT, Nigeria.
