This Purchase Order is issued by TechBridge Solutions Ltd (hereinafter referred to as the "Buyer") to Creative Pixel Web Design Studio (hereinafter referred to as the "Web Designer" or "Vendor") for the provision of professional web design and development services. This Purchase Order constitutes a binding agreement between the Buyer and the Web Designer for the scope of work, deliverables, payment terms, and conditions outlined herein. All services shall be rendered in accordance with the standards and regulations applicable in Nigeria Lagos, and the Web Designer acknowledges full responsibility for delivering all outputs within the agreed timelines and quality benchmarks.

The Buyer shall remit payment to the Web Designer in accordance with the following milestone-based schedule. All payments shall be made via bank transfer to the Vendor's designated account in Nigeria Lagos. The Web Designer shall issue a valid tax invoice for each payment tranche prior to the due date.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, with jurisdiction vested in the courts of Nigeria Lagos.
- Intellectual Property: Upon full and final payment, all intellectual property rights, source code, design files, and deliverables created by the Web Designer shall transfer exclusively to the Buyer. The Web Designer retains the right to display the completed work in their portfolio with prior written consent from the Buyer.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, business strategies, and data accessed during the engagement in Nigeria Lagos. A separate Non-Disclosure Agreement (NDA) is attached as Annex A.
- Delivery and Acceptance: All deliverables shall be submitted to the Buyer's designated project manager via email and the shared project management platform. The Buyer shall have five (5) business days to review and either accept or request revisions. Failure to respond within this period shall constitute deemed acceptance.
- Revisions: The Web Designer shall include up to three (3) rounds of revisions per deliverable at no additional cost. Additional revision requests beyond the agreed scope shall be billed at NGN 45,000 per hour.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in Nigeria Lagos, or widespread internet infrastructure failures.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date, and the Web Designer shall deliver all work-in-progress materials.
- Compliance: The Web Designer warrants that all services rendered under this Purchase Order shall comply with the Nigeria Data Protection Act (NDPA) 2023, the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, and all applicable regulations of the Nigeria Communications Commission (NCC) as they pertain to digital services in Nigeria Lagos.
- Warranty: The Web Designer warrants that the delivered website shall be free from material defects, security vulnerabilities, and coding errors for a period of ninety (90) days from the date of launch. Any defects identified within this warranty period shall be rectified by the Web Designer at no additional charge.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Web Designer confirms availability to commence work within five (5) business days of the Purchase Order acceptance date and commits to delivering all milestones within the timelines specified for this engagement in Nigeria Lagos.

This Purchase Order (PO-LAG-2025-00472) is valid for thirty (30) days from the date of issue. Any amendments to this Purchase Order must be made in writing and signed by both parties. This document is issued in two (2) original copies, one for the Buyer and one for the Web Designer, both bearing equal legal standing. All communications regarding this Purchase Order shall be directed to the procurement department of TechBridge Solutions Ltd, Nigeria Lagos, or the project lead at Creative Pixel Web Design Studio, Nigeria Lagos.
