TERMS AND CONDITIONS OF THIS PURCHASE ORDER

Scope of Work: The Web Designer engaged under this Purchase Order shall deliver all services in accordance with the specifications outlined in Annexure A (attached separately). All design work must reflect modern web standards and be optimized for users accessing content from Pakistan Islamabad and surrounding regions.
Payment Schedule: 30% advance payment upon acceptance of this Purchase Order, 40% upon completion of the primary website design (Item 1), and the remaining 30% upon final acceptance of all deliverables. Monthly retainer payments (Item 3) shall be due on the 5th of each month.
Intellectual Property: Upon full and final payment, all source code, design files, and digital assets created by the Web Designer shall become the exclusive property of Capital Digital Solutions (Pvt.) Ltd. The Web Designer retains the right to display completed work in their portfolio with prior written consent.
Revisions: The Web Designer shall provide up to three (3) rounds of revisions per deliverable at no additional cost. Additional revision cycles beyond the agreed number shall be billed at PKR 15,000 per hour.
Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, client data, and business strategies disclosed during the engagement in Pakistan Islamabad. A separate Non-Disclosure Agreement (NDA) is executed concurrently with this Purchase Order.
Compliance: All services rendered under this Purchase Order shall comply with the Pakistan Telecommunication Authority (PTA) regulations, the Pakistan Electronic Commerce Rules 2007, and applicable data protection laws of Pakistan Islamabad.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Web Designer shall be compensated for all work completed up to the termination date, and all source files shall be handed over to the Buyer.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Pakistan Islamabad in accordance with the Arbitration Act 1940 of Pakistan. The governing law shall be the laws of the Islamic Republic of Pakistan.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Pakistan Islamabad, or widespread internet infrastructure failures.
Acceptance: This Purchase Order becomes binding upon signature by both parties. The Web Designer shall confirm acceptance in writing within five (5) business days of receipt.

NOTE: This Purchase Order is issued in accordance with the procurement policies of Capital Digital Solutions (Pvt.) Ltd. All services must be performed by a qualified and experienced Web Designer or team of Web Designers operating legally within Pakistan Islamabad. The supplier must maintain valid professional indemnity insurance of not less than PKR 5,000,000 for the duration of this engagement. AUTHORIZATION & ACCEPTANCE
