This Purchase Order is issued by Karachi Digital Solutions Pvt. Ltd. to formally engage the services of a certified Web Designer based in Pakistan Karachi for the design, development, and deployment of a comprehensive corporate e-commerce platform. The selected Web Designer shall deliver all work in accordance with the specifications outlined below and in strict compliance with the commercial and legal standards prevailing in Pakistan Karachi.

• Advance Payment (30%): PKR 804,000 to be transferred via bank wire to the Web Designer's designated account within five (5) business days of acceptance of this Purchase Order. The transfer shall be made from the purchaser's account held at HBL, Clifton Branch, Pakistan Karachi.
• Milestone Payment (40%): PKR 1,072,000 payable upon successful completion and client sign-off of Deliverables 1 through 3 (UI/UX Design, Front-End Development, and Back-End Integration).
• Final Payment (30%): PKR 804,000 payable upon completion of all deliverables, successful deployment, and delivery of the post-launch support period. A final invoice shall be issued by the Web Designer to the purchaser's accounts department in Pakistan Karachi.
• All payments shall be made in Pakistani Rupees (PKR) via interbank transfer. Late payments shall attract a penalty of 1.5% per month as per the terms governing commercial transactions in Pakistan Karachi.

• Intellectual Property: Upon full and final payment, all intellectual property rights, source code, design assets, and documentation created by the Web Designer shall be transferred irrevocably to Karachi Digital Solutions Pvt. Ltd. The Web Designer retains the right to display the completed project in a professional portfolio.
• Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary business information, customer data, and trade secrets encountered during the engagement in Pakistan Karachi. A separate Non-Disclosure Agreement (NDA) shall be executed prior to commencement of work.
• Compliance: The Web Designer shall comply with all applicable laws and regulations of the Islamic Republic of Pakistan, including the Prevention of Electronic Crimes Act (PECA) 2016, the Personal Data Protection regulations, and all tax obligations registered under the Federal Board of Revenue (FBR) for operations in Pakistan Karachi.
• Revisions: The scope includes three (3) rounds of revisions per deliverable. Additional revision cycles beyond the agreed number shall be billed at PKR 25,000 per hour at the Web Designer's standard rate.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the purchaser shall pay for all work completed up to the termination date. The Web Designer shall deliver all source files and work-in-progress materials within seven (7) days of termination.
• Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Arbitration Act 1940, with the seat of arbitration in Pakistan Karachi, Sindh.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns, or infrastructure failures affecting the Pakistan Karachi region.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Web Designer in Pakistan Karachi. This document constitutes a binding commercial agreement effective from the date of the last signature.
