TERMS AND CONDITIONS- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Web Designer (Creativa Web Studio E.I.R.L.) within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Scope of Work: The Web Designer shall perform all services strictly within the scope defined in the line items above. Any additional work, design changes beyond the three approved revision cycles, or scope modifications must be documented in a formal Change Order signed by both parties before execution.
- Timeline: The Web Designer commits to delivering the fully functional website no later than August 15, 2025. Milestone deliverables are as follows: Wireframes by June 30, 2025; Design Mockups by July 15, 2025; Development Complete by August 1, 2025; Final QA and Deployment by August 15, 2025. All dates are subject to the buyer's timely feedback within Peru Lima business hours (Monday to Friday, 9:00 AM to 6:00 PM, Peru time).
- Payment Schedule: Payment shall be made in three (3) installments: 30% (S/ 19,116.00) upon Purchase Order acceptance; 40% (S/ 25,488.00) upon delivery of the development milestone (August 1, 2025); and 30% (S/ 19,116.00) upon final acceptance and deployment. All payments shall be made via bank transfer to the account designated by the Web Designer. Invoices must include the RUC number and be issued in accordance with Peruvian tax regulations (SUNAT).
- Intellectual Property: Upon full payment, all intellectual property rights, including but not limited to source code, design files, graphics, and documentation created by the Web Designer specifically for this Purchase Order, shall be transferred to Andina Digital Solutions S.A.C. The Web Designer retains the right to display the completed project in their professional portfolio, subject to the buyer's written consent.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, business strategies, client data, and internal processes of the buyer encountered during the execution of this Purchase Order. This obligation shall survive the termination of this agreement for a period of three (3) years.
- Warranty & Support: The Web Designer provides a ninety (90) day warranty period from the date of final deployment, during which any bugs, defects, or non-conformities shall be corrected at no additional cost. The 90-day post-launch support window includes up to 20 hours of technical assistance for the buyer's team in Peru Lima.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date. The Web Designer shall deliver all work-in-progress materials and source code to the buyer.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Peru. Any disputes arising from this agreement shall be resolved in the competent courts of Peru Lima, San Isidro district. Both parties agree to attempt mediation before initiating any legal proceedings.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, government actions, or internet infrastructure failures affecting the Peru Lima region.
