- Acceptance: This Purchase Order constitutes a formal offer to engage the named Web Designer for the professional services described herein. Acceptance of this Purchase Order by the Web Designer shall be deemed upon written acknowledgment or commencement of work, whichever occurs first. Both parties acknowledge that this engagement is governed by the laws of the Republic of the Philippines, with jurisdiction in the courts of Metro Manila, Philippines Manila.
- Scope of Work: The Web Designer shall perform all duties, deliverables, and milestones as outlined in Section 3 of this Purchase Order. Any additional services beyond the stated scope shall require a written change order signed by both parties prior to execution. The Web Designer is expected to maintain professional standards consistent with the Philippine Information Technology Industry Development Act (RA 7991).
- Payment Schedule: Payment for this Purchase Order shall be made as follows: 30% advance payment upon signing, 40% upon completion and acceptance of the primary website design deliverables, and 30% upon final acceptance of all remaining items. Monthly maintenance fees under Item 3 shall be invoiced on the first business day of each month. All payments shall be made via bank transfer to the account designated by the Web Designer in the Philippines Manila banking system.
- Intellectual Property: Upon full and final payment, all intellectual property rights, including but not limited to source code, design files, graphics, and documentation created by the Web Designer specifically for this Purchase Order, shall be transferred to Digital Ventures Philippines, Inc. The Web Designer retains the right to display completed work in their professional portfolio with prior written consent from the buyer.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, client data, and business strategies disclosed during the course of this Purchase Order engagement. This obligation shall survive the termination of this agreement for a period of three (3) years. Compliance with the Philippine Data Privacy Act (RA 10173) is mandatory for all data handling activities.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Web Designer shall be compensated for all work completed and accepted up to the date of termination. The buyer shall pay for any non-cancellable third-party services already procured by the Web Designer on behalf of the project.
- Warranty and Support: The Web Designer warrants that all deliverables shall be free from material defects for a period of ninety (90) days from the date of final acceptance. During this warranty period, the Web Designer shall correct any identified defects at no additional charge. This Purchase Order does not limit the statutory rights of the buyer under Philippine consumer protection laws.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within fifteen (15) days, the matter shall be referred to mediation under the rules of the Philippine Mediation Center. If mediation fails, the dispute shall be settled in the courts of law in Metro Manila, Philippines Manila.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in the Philippines Manila area, or internet infrastructure failures, provided that the affected party notifies the other within forty-eight (48) hours.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Philippines, the Revised Tax Code, and all applicable regulations of the Bureau of Internal Revenue (BIR) and the Department of Trade and Industry (DTI) of the Republic of the Philippines.
