This Purchase Order is issued by Office of Digital Solutions, LLC (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of professional Web Designer services from DigitalCraft Studio OOO (hereinafter referred to as the "Vendor"). The scope of this Purchase Order encompasses the full-cycle design, development, and deployment of a corporate website and associated digital assets. The Web Designer engaged under this Purchase Order shall be responsible for creating a modern, responsive, and user-centric digital presence for the Buyer's operations headquartered in Russia Moscow. All deliverables must comply with the Federal Law No. 152-FZ on Personal Data and applicable Russian Federation regulations governing electronic commerce and digital content.

The Web Designer assigned to this Purchase Order shall deliver all work products in formats agreed upon in the attached Statement of Work (SOW). The primary deliverable is a fully functional, visually compelling corporate website hosted on a server located within Russia Moscow to ensure data sovereignty and compliance with local hosting regulations. The Web Designer shall conduct all design workshops, client reviews, and on-site meetings at the Buyer's office in Russia Moscow unless otherwise agreed in writing. All source files, design assets, and code repositories shall be transferred to the Buyer upon final acceptance and full payment.

• 1. Acceptance: This Purchase Order becomes binding upon written acceptance by the Vendor. The Vendor shall confirm acceptance within five (5) business days of receipt.
• 2. Timeline: The Web Designer shall adhere to the project milestones outlined in the SOW. Delays exceeding ten (10) business days without written justification may result in a penalty of 0.5% of the total Purchase Order value per day of delay.
• 3. Payment: Payment shall be made via bank transfer to the Vendor's account in Russia Moscow. A 30% advance payment is due upon Purchase Order acceptance, 50% upon delivery of the completed website for review, and 20% upon final acceptance and handover of all source materials.
• 4. Intellectual Property: Upon full payment, all intellectual property rights to the Web Designer's deliverables, including but not limited to designs, code, and brand assets, shall be irrevocably transferred to the Buyer.
• 5. Confidentiality: The Web Designer shall maintain strict confidentiality regarding all proprietary information, business strategies, and client data encountered during the execution of this Purchase Order. This obligation survives termination for a period of three (3) years.
• 6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation. Any disputes shall be resolved through arbitration in Moscow, Russia.
• 7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or widespread infrastructure failures in Russia Moscow.
• 8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date.

Acceptance is contingent upon: (a) the website functioning correctly across all major browsers and mobile devices; (b) compliance with the approved design mockups; (c) successful load testing at a minimum of 5,000 concurrent users; (d) passing all security vulnerability scans; and (e) full compliance with Russian Federation data protection and e-commerce legislation. Any deficiencies identified during the acceptance period shall be remediated by the Web Designer at no additional cost within five (5) business days.
