Scope of Work — Web Designer ServicesThis Purchase Order is issued by Al-Nakheel Digital Solutions LLC to engage the services of Creative Pixel Web Design Studio, a specialized Web Designer firm operating in Saudi Arabia Riyadh, for the comprehensive design, development, and deployment of a corporate e-commerce website. - Acceptance: This Purchase Order (PO-RYD-2025-04782) shall become a binding agreement upon written acceptance by the Web Designer supplier. Acceptance must be confirmed in writing within five (5) business days of the issue date. Failure to confirm within this period shall render this Purchase Order null and void.
- Payment Schedule: Payment shall be made in three (3) milestones: 30% upon signing and acceptance of this Purchase Order, 40% upon completion of development and QA (Line Items 1–7), and 30% upon successful completion of the post-launch support period (Line Item 8). All payments shall be made via bank transfer to the supplier's account in a Saudi Arabian bank, denominated in Saudi Riyals (SAR).
- Intellectual Property: Upon full and final payment, all intellectual property rights, including but not limited to source code, design files, wireframes, and documentation, shall be transferred to the Buyer. The Web Designer retains the right to display the completed project in their portfolio, subject to the Buyer's written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the execution of this Purchase Order. This obligation shall survive the termination of the agreement for a period of two (2) years.
- Compliance with Saudi Law: All services rendered under this Purchase Order shall comply with the laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Saudi Cybercrime Law, the Personal Data Protection Law (PDPL), and the regulations of the Communications, Space & Technology Commission (CST) applicable in Saudi Arabia Riyadh.
- Revisions: The Web Designer is entitled to three (3) rounds of revisions per design milestone as specified in Line Item 1. Additional revisions beyond the agreed scope shall be billed at a rate of SAR 1,200 per hour, subject to prior written approval by the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination. The Web Designer shall deliver all work-in-progress materials to the Buyer within ten (10) business days of the termination notice.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to the competent courts of Saudi Arabia Riyadh or to the Saudi Center for Commercial Arbitration (SCCA), as the Buyer may elect.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Saudi Arabia Riyadh.
- Governing Language: This Purchase Order is drafted in English. In the event of any translation into Arabic, the English version shall prevail for the purposes of interpretation and legal enforcement within the jurisdiction of Saudi Arabia Riyadh.
