- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea (South Korea). Any disputes arising from this Purchase Order shall be resolved through arbitration in Seoul, South Korea, under the rules of the Korean Commercial Arbitration Board (KCAB).
- Scope of Work: The Web Designer engaged under this Purchase Order shall deliver all services as specified in the line items above. All design assets, source code, and documentation shall be the exclusive intellectual property of Seoul Digital Ventures Co., Ltd. upon full payment.
- Delivery & Acceptance: The Web Designer shall submit deliverables in phases as outlined in the project timeline. Each phase must be accepted in writing by the Buyer's designated project manager within Seoul, South Korea, before the next phase commences. The final acceptance period is ten (10) business days from the date of final delivery.
- Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of front-end development (Item 03), and 30% upon final acceptance. All payments shall be made in South Korean Won (KRW) via bank transfer to the account specified above.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance: The Web Designer shall comply with all applicable South Korean regulations, including but not limited to the Personal Information Protection Act (PIPA), the Electronic Commerce Act, and the Copyright Act of the Republic of Korea. All user data collected during the design and development process shall be stored on servers located within South Korea.
- Warranty: The Web Designer warrants that all deliverables shall be free from material defects for a period of ninety (90) days following final acceptance. Any defects discovered within this warranty period shall be corrected at no additional cost to the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Web Designer shall deliver all work-in-progress materials.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Seoul, South Korea.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not constitute a valid amendment.
