All deliverables under this Purchase Order shall be completed and delivered to the Buyer at the specified address in Spain Valencia within a total project duration of twelve (12) weeks from the date of Purchase Order acceptance. The Web Designer shall provide weekly progress reports and shall conduct bi-weekly in-person review meetings at the Buyer’s office located in Valencia, Spain. Final delivery of all source files, design assets, and documentation shall be made no later than 2 September 2025.
Payment for this Purchase Order shall be structured as follows:
- 30% advance payment (EUR 5,499.45) due upon signature and acceptance of this Purchase Order.
- 40% milestone payment (EUR 7,332.60) due upon approval of the high-fidelity UI design phase.
- 30% final payment (EUR 5,499.45) due upon final delivery and acceptance of all Web Designer deliverables in Spain Valencia.
All payments shall be made via bank transfer to the account details provided by the Seller. Late payments shall incur interest at the rate established under Spanish commercial law (Ley de Morosidad).
- This Purchase Order is governed by the commercial laws of the Kingdom of Spain, with specific reference to the regional regulations applicable in the Valencian Community, Spain Valencia.
- The Web Designer warrants that all work delivered under this Purchase Order shall be original, free from intellectual property infringement, and shall not contain any third-party licensed content without prior written authorization from the Buyer.
- All intellectual property rights in the final deliverables shall transfer to the Buyer upon full and final payment as stipulated in this Purchase Order.
- The Web Designer shall maintain professional indemnity insurance with a minimum coverage of EUR 1,000,000 throughout the duration of this Purchase Order engagement in Spain Valencia.
- Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination.
- Any disputes arising from this Purchase Order shall be resolved through the competent courts of Valencia, Spain Valencia, in accordance with Spanish civil and commercial procedure.
- The Web Designer shall comply with all applicable data protection regulations, including the GDPR and the Spanish Organic Law 3/2018 (LOPDGDD), in the handling of any personal data encountered during the execution of this Purchase Order.
- This Purchase Order constitutes the entire agreement between the parties regarding the Web Designer services described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter of this Purchase Order in Spain Valencia.
