1. This Purchase Order constitutes a binding agreement between Nile Digital Solutions LLC and Al-Nil Web Design Studio, governed by the commercial laws of the Republic of Sudan.
2. The Web Designer shall maintain full confidentiality of all proprietary information, client data, and business strategies encountered during the engagement in Sudan Khartoum.
3. All intellectual property rights to the final website design, code, and associated assets shall transfer to the client upon full payment of this Purchase Order.
4. The Web Designer shall provide weekly progress reports every Friday, submitted in writing to the project manager at the Sudan Khartoum office.
5. Any changes to the scope of work must be documented in a formal Change Order signed by both parties before implementation.
6. Delays exceeding ten (10) business days beyond the required delivery date, not attributable to force majeure, shall incur a penalty of 0.5% of the total contract value per day of delay.
7. Disputes arising from this Purchase Order shall be resolved through arbitration in Sudan Khartoum in accordance with the Sudanese Arbitration Act.
8. This Purchase Order is valid for acceptance within seven (7) calendar days from the date of issue. Failure to accept within this period shall render this document null and void.
