This Purchase Order is issued by Anatolia Digital Solutions A.S. to formally engage the services of PixelCraft Web Design Studio, a specialized Web Designer firm operating out of Turkey Istanbul, for the comprehensive design, development, and deployment of a corporate e-commerce platform. The Web Designer team, based in the Kadıköy district of Turkey Istanbul, shall deliver all work in accordance with the specifications outlined in this Purchase Order and the attached Statement of Work (SOW-2025-TR-04871).
The Web Designer engagement encompasses the full lifecycle of web design and development, including but not limited to: user experience (UX) research and wireframing, visual interface design (UI), responsive front-end development, back-end integration with existing ERP systems, content management system (CMS) configuration, search engine optimization (SEO) implementation, and post-launch maintenance for a period of twelve (12) months. All deliverables must comply with the Turkish Electronic Commerce Law (Law No. 6563) and applicable data protection regulations under the Turkish Personal Data Protection Law (KVKK).

- Payment Terms: Payment shall be made in four (4) installments: 25% upon execution of this Purchase Order, 25% upon completion of Milestone 2, 30% upon completion of Milestone 4, and 20% upon final acceptance after Milestone 6. All payments shall be made via bank transfer to the account of the Web Designer provider in Turkey Istanbul within fifteen (15) business days of invoice receipt.
- Working Location: All on-site work, meetings, and training sessions shall take place at the Buyer's office located in Şişli, Turkey Istanbul, or at the Web Designer's studio in Kadıköy, Turkey Istanbul, as mutually agreed. Remote collaboration via secure video conferencing is permitted for non-critical tasks.
- Intellectual Property: Upon full payment, all intellectual property rights, source code, design assets, and documentation created by the Web Designer under this Purchase Order shall be transferred exclusively to the Buyer. The Web Designer retains the right to display the completed project in their professional portfolio, subject to the Buyer's written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, business strategies, and technical data exchanged during the course of this Purchase Order. This obligation shall survive the termination of the agreement for a period of three (3) years.
- Revisions: The Web Designer shall include three (3) rounds of revisions at each design milestone at no additional cost. Additional revision requests beyond the included rounds shall be billed at the Web Designer's standard hourly rate of TRY 1,200 per hour.
- Warranty: The Web Designer warrants that all deliverables shall be free from material defects for a period of ninety (90) days following the production launch. Any bugs or defects identified within this warranty period shall be corrected by the Web Designer at no additional charge.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination. The Web Designer shall deliver all work-in-progress materials and source code to the Buyer within fourteen (14) days of the termination notice.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Istanbul, Turkey.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Turkey Istanbul metropolitan area.
- Compliance: The Web Designer shall ensure that all work performed under this Purchase Order complies with applicable Turkish labor laws, tax regulations, and industry standards. The Web Designer is responsible for all social security contributions and tax obligations for their personnel in Turkey Istanbul.
