The selected Web Designer shall be responsible for all aspects of the digital interface, including but not limited to user experience architecture, visual design, responsive layout implementation, and cross-browser compatibility testing. The Web Designer is expected to adhere to the latest industry standards and ensure full compliance with the digital accessibility guidelines applicable in the United Arab Emirates Abu Dhabi market.

The engagement of this Web Designer is governed by the terms outlined in this Purchase Order and the supplementary service agreement referenced herein. All deliverables must be completed within the United Arab Emirates Abu Dhabi jurisdiction and must comply with local data protection regulations as enforced by the Abu Dhabi Department of Digital Government.

All payments under this Purchase Order shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the supplier's designated account in Abu Dhabi. The payment schedule is structured as follows: 30% advance payment upon acceptance of this Purchase Order, 40% upon completion and approval of the design phase by the Web Designer's client review, and the remaining 30% upon final deployment and sign-off. Invoices must be submitted to the procurement department of Al Noor Digital Solutions LLC, Abu Dhabi, United Arab Emirates, no later than five (5) business days following milestone completion. Late payments shall incur a penalty of 2% per month as per UAE commercial law.

1. This Purchase Order is governed by the laws of the United Arab Emirates and shall be interpreted in accordance with the UAE Civil Code and the Federal Decree-Law on Commercial Transactions. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Abu Dhabi, United Arab Emirates.
2. The Web Designer warrants that all work delivered shall be original, free from intellectual property infringement, and shall not contain any third-party code or assets without proper licensing. The Web Designer shall indemnify the Buyer against any claims arising from IP violations.
3. All source files, design assets, and documentation produced by the Web Designer shall become the exclusive property of Al Noor Digital Solutions LLC upon full payment. The Web Designer shall not reuse, resell, or display these assets for any other client within the United Arab Emirates Abu Dhabi market without written consent.
4. The Web Designer shall maintain professional confidentiality regarding all proprietary information, business strategies, and data accessed during the course of this engagement in Abu Dhabi. A separate Non-Disclosure Agreement (NDA) is attached as Annex A to this Purchase Order.
5. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Web Designer shall be compensated for all work completed and approved up to the date of termination, and all source materials in progress shall be handed over to the Buyer.
6. The Web Designer shall comply with all applicable data protection and cybersecurity regulations as enforced by the Abu Dhabi Department of Digital Government and the UAE Data Protection Authority. All client data processed during the project shall be stored on servers physically located within the United Arab Emirates Abu Dhabi.
7. This Purchase Order becomes effective upon signature by both parties and remains valid until the completion of all deliverables and the expiration of the post-launch support period, unless otherwise amended in writing.
