This Purchase Order is issued by Meridian Digital Solutions Ltd. to Creative Pixel Studio Ltd. for the engagement of a qualified Web Designer to deliver comprehensive website design, development, and user experience services. This Purchase Order governs all terms, conditions, deliverables, and payment arrangements for the professional services to be rendered in the United Kingdom London metropolitan area. The Web Designer engaged under this Purchase Order shall adhere to all applicable United Kingdom legislation, including but not limited to the Data Protection Act 2018, the UK GDPR, and the Consumer Rights Act 2015, as applicable to commercial engagements within United Kingdom London.

The Web Designer contracted under this Purchase Order shall provide the following professional services to Meridian Digital Solutions Ltd. All work shall be conducted in accordance with industry best practices and the specific requirements outlined in the attached Statement of Work (SOW-2025-04872). The Web Designer is expected to maintain full professional indemnity insurance throughout the duration of this Purchase Order and shall operate from the United Kingdom London office premises or as otherwise agreed in writing by both parties.

Payment shall be made in accordance with the milestone schedule set out in the Statement of Work. A 30% deposit is due upon acceptance of this Purchase Order.
Remaining payments shall be invoiced monthly in arrears, with payment due within 30 days of the invoice date, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in United Kingdom London.
All payments shall be made via BACS transfer to the bank account details provided by Creative Pixel Studio Ltd. in United Kingdom London.
Any disputed amounts must be raised in writing within 14 days of invoice receipt. Undisputed portions shall be paid on the original due date.

The Web Designer shall deliver all project milestones in accordance with the agreed timeline. The final website launch is scheduled for no later than 30 September 2025.
Meridian Digital Solutions Ltd. shall have a 10-business-day acceptance period following each milestone delivery. Failure to raise written objections within this period shall constitute deemed acceptance.
All deliverables shall be provided in source code format with full intellectual property transfer to the Purchasing Entity upon final payment, as governed by the Copyright, Designs and Patents Act 1988 in the United Kingdom.

This Purchase Order is governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
The Web Designer shall maintain confidentiality of all proprietary information, trade secrets, and client data in accordance with the Data Protection Act 2018 and UK GDPR.
Either party may terminate this Purchase Order with 30 days written notice. In the event of termination, the Purchasing Entity shall pay for all services rendered up to the termination date.
The Web Designer shall not subcontract any portion of the work without prior written consent from Meridian Digital Solutions Ltd.
Force majeure events, including but not limited to acts of God, government action, or pandemic-related restrictions in United Kingdom London, shall excuse delayed performance for the duration of such event.
This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Web Designer services in United Kingdom London.
