Terms and Conditions of This Purchase Order
- This Purchase Order is issued by Lakeside Digital Ventures LLC, a corporation registered in the State of Illinois, United States, and governs the engagement of Windy City Creative Studio, Inc. as the contracted Web Designer for the scope of work described above.
- All services rendered by the Web Designer shall be performed in accordance with the project timeline established in this Purchase Order. Any delays exceeding five (5) business days must be communicated in writing to the buyer's procurement office in Chicago, Illinois, no later than 48 hours before the affected milestone.
- The Web Designer warrants that all deliverables, including but not limited to design files, source code, and documentation, shall be original work free of intellectual property infringement. The Web Designer shall indemnify the buyer against any third-party claims arising from the use of non-original assets.
- Payment shall be made via ACH transfer to the vendor's designated bank account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month, in compliance with Illinois commercial code provisions applicable in the United States Chicago jurisdiction.
- The Web Designer shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence throughout the duration of this Purchase Order. A certificate of insurance shall be provided to the buyer prior to commencement of work.
- All project meetings, on-site consultations, and training sessions shall take place at the buyer's offices located at 1400 N. Michigan Avenue, Chicago, Illinois 60610, United States, unless otherwise agreed in writing by both parties.
- This Purchase Order is subject to the laws of the State of Illinois and the United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Cook County, Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
- The Web Designer shall comply with all applicable federal, state, and local regulations in the United States, including but not limited to the Americans with Disabilities Act (ADA) as it pertains to web accessibility, and the Illinois Personal Information Protection Act (PIPA) for any data handling.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall pay for all services rendered and approved up to the date of termination, and the Web Designer shall deliver all work-in-progress materials to the buyer.
- This Purchase Order constitutes the entire agreement between the parties regarding the Web Designer services described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
