Payment for this Purchase Order shall be made in accordance with the following schedule. All payments are due in U.S. Dollars (USD) via wire transfer to the account designated by the Web Designer. The buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Web Designer. A 1.5% monthly late fee shall apply to any overdue balance. The initial 30% deposit is due upon execution of this Purchase Order, with the remaining 70% payable in two equal installments: 40% upon completion of the development phase and 30% upon final acceptance and deployment in Houston, Texas.
- Web Designer Obligations: The Web Designer shall perform all services with professional skill, care, and diligence consistent with industry standards practiced by web design professionals in the United States. The Web Designer warrants that all deliverables shall be original work and shall not infringe upon any third-party intellectual property rights.
- Location of Performance: All on-site meetings, presentations, and training sessions related to this Purchase Order shall take place at the buyer's offices in Houston, Texas, United States. Remote collaboration is permitted for non-critical tasks, provided that the Web Designer maintains a primary business address within the Houston metropolitan area.
- Intellectual Property: Upon full and final payment under this Purchase Order, all rights, title, and interest in the completed web design assets, source code, and related documentation shall transfer exclusively to Gulf Coast Digital Solutions LLC. The Web Designer retains the right to display the completed work in a professional portfolio, subject to a thirty-day prior written notice to the buyer.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Revisions: The Web Designer shall include up to three (3) rounds of revisions per deliverable milestone at no additional cost. Additional revision requests beyond the included rounds shall be billed at the Web Designer's standard hourly rate of $125.00 per hour.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination by the buyer for convenience, the buyer shall compensate the Web Designer for all work completed and documented up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Houston, Texas.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, or widespread internet outages affecting the Houston, Texas region.
